Mike Saber and John Therien Present on Technology Licensing at CED's Entrepreneurs-Only Workshop
Smith Anderson lawyers Mike Saber and John Therien were invited presenters at the Council for Entrepreneurial Development's (CED) Entrepreneurs Only Workshop. CED hosts these lunchtime meetings approximately six times per year to provide current and potential entrepreneurs with practical and applicable information on issues of concern to start-up organizations.

Mr. Saber and Mr. Therien's interactive presentation to 50 technology executives "Licensing - Key Issues for Entrepreneurs" offered attendees practical information on the full life-cycle of licensing issues including why to seek a license; how to obtain one; matters to consider when negotiating a license; and diligence issues for investors.

CED was created over 20 years ago to identify, enable and promote high growth, high impact entrepreneurial companies and to accelerate the entrepreneurial culture of the Research Triangle and North Carolina. With more than 4,000 active members representing over 1,100 companies, CED is the largest entrepreneurial support organization in the United States.

Mr. Saber represents clients in a variety of corporate activities, including venture capital transactions, mergers and acquisitions, commercial licensing, public and private offerings, strategic partnerships and collaborations, and advice to the board of directors. He has been named to Business North Carolina's Legal Elite for three consecutive years.

Mr. Therien practices primarily in the areas of technology licensing and commercialization, life sciences, and the acquisition and protection of intellectual property rights. Prior to joining Smith Anderson, he was a lawyer at Ropes & Gray in Boston, Massachusetts.

Smith Moore's Rich Kaye Named International Law Section Chair
Smith Moore LLP attorney Rich Kaye has been named chair of the Atlanta Bar Association International Law Section. Kaye will oversee the section and organize and schedule its programs during his one-year term.

As a leader within the international law practice at Smith Moore and the Atlanta Bar Association, Kaye has been instrumental in international outreach to China. Recently, he presented an in-depth overview of the legal and regulatory business/trade environment in the U.S. at an event at the Georgia Tech School of Management for Executive MBA students from the Huazhong University of Science and Technology in China.

For more than 20 years he has provided counsel to clients on issues related to merger, stock, and asset purchase agreements, as well as issues associated with general company formation, shareholder, and limited liability issues. In addition to his broad commercial, real estate, and transactional experience, Kaye has represented foreign companies in connection with their activities in the United States and abroad while practicing in Europe, Africa and the U.S.

He is a 1983 graduate of the Emory University School of Law, is a member of the American Society of International Law and NASD Board of Arbitrators, and is a board member for the Georgia Construction Finance Managers Association.

Cramer Featured in The Philadelphia Lawyer
Harold Cramer was featured in the “Readers’ Comments” column in The Philadelphia Lawyer (Spring 2007, Vol. 70, No. 1). Harold discussed his experience with representing the estate of Teamsters boss Jimmy Hoffa to collect $500,000 from a borrower in the Scranton/Wilkes-Barre area of Pennsylvania. Based upon a response from the borrower’s attorney – stating that he and his client would come to Philadelphia to discuss payment – Harold commented that he had reason to believe there was a “resurrection” of Jimmy Hoffa and the borrower and their attorney might have been aware of Mr. Hoffa’s whereabouts.

The issue also features a photograph of Harold at the 1957 lecture given by United States Supreme Court Justice Felix Frankfurter, which was sponsored by the Pennsylvania chapter of the Order of the Coif and the University of Pennsylvania Law School.

Schaerf, Wilensky Honored as Panel Counsel
Saul Wilensky and Carl Schaerf were named to the “Honor Roll” of attorneys at the panel counsel meeting for Altec Industries, Inc., which was held in Asheville, North Carolina. Altec is a leading equipment and service provider for the electric utility, telecommunications, and contractor markets in more than 100 countries throughout the world.

Battle, Dandridge Participate on Attorney Mentoring Panel
Al Dandridge and Jennifer Battle were featured in an article in The Legal Intelligencer that discussed attorney mentoring. The article featured a panel of eight of Philadelphia’s minority law firm partners discussing how they became partner and what they have done since.

Coleman Notes Bankruptcy Law in USA Today
Kevin Coleman was featured in USA Today’s “Strategies: Surviving Another’s Bankruptcy” column on March 30, 2007. The column described the different forms of bankruptcy and provided recommended steps to take when a key partner – customer, distributor, or supplier – enters into bankruptcy. Kevin, who represented the column author Rhonda Abrams in a recent bankruptcy case, commented “Bankruptcy law can imply or alter what the parties say their relationship is.

Schaerf Appointed to Leadership in DRI Committee
Carl Schaerf has been appointed to the Steering Committee of the Cranes and Derricks Committee of the Defense Research Institute (DRI). DRI provides numerous educational and informational resources to its members and offers many opportunities for liaison among defense trial lawyers, corporations, and state and local defense organizations.
