SQUIRE SANDERS ADVISES UNITED COMMERCIAL BANK IN LANDMARK ACQUISITION
Global law firm Squire, Sanders & Dempsey L.L.P. counseled longtime client United Commercial Bank (UCB), the bank subsidiary of UCBH Holdings Inc., in its recent and historic agreement to acquire Shanghai-based Business Development Bank Ltd. (BDB) for US$250 million. The transaction is subject to regulatory approvals in China and the United States.

The transaction, coming just months after China expanded foreign access to its financial services sector, is believed to mark the first time a US-based community bank has bought a China-based bank. The transaction was announced March 28. UCB and UCBH are based in San Francisco and BDB is based in Shanghai.

“China’s new banking regulations went into effect in December 2006 and opened the door to new opportunities for financial institutions that want to support the growing number of small- and medium-sized companies in China with relationships with US business,” said Nicholas Unkovic, managing partner of the firm’s Palo Alto office. Unkovic, along with James Zimmerman of the firm’s Beijing office, led the Squire Sanders team counseling UCB. “UCB is a dynamic and growing bank serving the Chinese communities in the US and Asia. We are proud to assist with a transaction that will give it a great competitive advantage.”

Squire Sanders has counseled UCBH in several other key acquisitions including its pending acquisition of The Chinese American Bank in New York, its 2006 acquisitions of Summit National Bank in Atlanta and Boston’s Asian American Bank and Trust Company, and the 2005 acquisition of Seattle’s Pacifica Bank. Those deal teams involved lawyers from Squire Sanders offices in Palo Alto, San Francisco and Los Angeles.

Equinix, Inc. Convertible Notes Offering
Davis Polk & Wardwell advised Citigroup Global Markets, Inc. as sole bookrunner and Credit Suisse (USA) LLC and Jefferies & Co. LLC as co-managers on an SEC-registered offering by Equinix, Inc. of $250 million aggregate principal amount of 2.50% convertible subordinated notes due 2012.

Based in Foster City, California, Equinix provides network neutral colocation, interconnection and managed services to enterprises, content companies, systems integrators and the world’s largest network providers.

The Davis Polk corporate team included partner Alan F. Denenberg and associates Sarah K. Solum, Sarvenaz Madi and Dharini Mathur (not yet admitted), all of the Menlo Park office. Partner Rachel D. Kleinberg of the Menlo Park office and associate David Morris of the New York office provided tax advice. Counsel Loyti Cheng and associate Hayden S. Baker, both of the New York office, provided environmental advice. Karla K. Rogers of the Menlo Park office was the legal assistant on the transaction.

Cozen O’Connor Attorney Steven Lee Rodriguez Selected as Outstanding Volunteer in Public Service
Cozen O’Connor member Steven Lee Rodriguez has been selected as an Outstanding Volunteer in Public Service by the San Francisco Bar Association’s Volunteer Legal Services Program. This is the second year that Rodriguez has earned this award, which recognizes his commitment to representing individuals who are on the verge of losing housing. Rodriguez handles settlement conferences before trial, and is often successful in negotiating favorable terms, including continued tenancy with a payment plan to pay back rent or complete forgiveness of back rent, giving the client a chance to make a fresh start elsewhere. His first award was presented by California Supreme Court Chief Justice Ronald George.

Rodriguez practices with the international insurance group in the firm’s San Francisco office. He focuses on representing international and domestic insurers, as well as international and domestic corporations performing business in the United States. He also has extensive litigation experience in representing corporate defendants in cases involving complex toxic torts, products liability, and premises and security liability. Rodriguez is a member of the San Francisco County Bar Association and is admitted to practice in all of California’s state and federal courts, as well as the Ninth Circuit Court of Appeals.

Rodriguez earned his undergraduate degree from the University of California, Santa Barbara (B.A., 1994) and his law degree from Santa Clara University School of Law (J.D., 1997).

Carlton Fields Shareholder Charles M. Rosenberg Elected to Goodwill Industries of South Florida, Inc., Board of Directors
Carlton Fields Miami Office Managing Shareholder, Charles M. Rosenberg, was elected to Goodwill Industries of South Florida, Inc. Board of Directors on March 29, 2007. Goodwill Industries of South Florida, Inc. (GISFL) is a nonprofit organization that serves Miami-Dade, Broward and Monroe counties.

The organization has a $74 million annual budget, with 95% related to programs, and only 5% for Management and Fund Raising making GISFL one of the most cost-effective nonprofits in the United States. GISFL’s mission is to provide training and employment services for the severely disabled. GISFL employs over 2,000 people every day. Last year, Goodwill served 4,490 people and placed 1,820 in new jobs in the community. From its employment and the placement of people into community jobs last year, Goodwill created in excess of $34 million in new earnings for people with disabilities.

Rosenberg focuses his practice on complex business and commercial litigation involving a wide array of substantive business and legal areas including antitrust and trade regulation, trade secrets and wrongful competition, securities, corporate governance, officer and director liability, and partnership and real estate law. He is the Office Managing Shareholder for the firm’s Miami office. Rosenberg received his bachelor degree, cum laude, in 1965 from Washington & Jefferson College and his J.D. in 1968 from George Washington University Law School.

Carlton Fields Co-Hosts Counsel to Counsel Forum in Dallas
Carlton Fields participated as one of the three co-hosts at the Counsel to Counsel forum in Dallas, Texas on Tuesday, March 27, 2007. West Palm Beach shareholder, Garth T. Yearick, and Atlanta shareholder, Alison Danaceau, spoke at the forum entitled Tackling E-Discovery: Creating Effective Policies and Processes.

Yearick practices in the area of complex commercial litigation in state and federal courts. He has extensive experience in complex commercial litigation and products liability litigation. He is also experienced with litigation involving technology issues and trade secret claims. Yearick received his J.D., with honors, from the University of Florida College of Law in 1996 and his B.A. from Emory University in 1992.

Danaceau has experience handling complex commercial litigation cases including intellectual property, business torts, and real estate litigation, representing corporate and individual clients in both federal and state courts. She received her J.D. from the University of Florida College of Law in 1985 where she was a member of the Order of the Coif and the Executive Managing Editor of the Florida Journal of International Law. She received her B.A. from the University of South Florida in 1985.

International Law Pioneer Fumio Koma and a Team of Prominent Lawyers Join Baker & McKenzie in Tokyo
Pioneering international lawyer Fumio Koma and a team of lawyers from Asahi Koma Law Offices as well as Janssen Foreign Law Office (the qualified joint enterprise of Asahi Koma Law Offices) will join Baker & McKenzie GJBJ Tokyo Aoyama Aoki Law Office (Gaikokuho Joint Enterprise) as of April 1, 2007, the leading global law firm Baker & McKenzie announced today.

The team, led by Koma, includes fellow Japanese lawyers (bengoshi) Yasunori Hashiguchi and Shinichiro Abe and German lawyer Markus Janssen who will join as senior partners. The team also comprises three other partners as well as a group of associates and counsel. The team is the latest in a series of prominent Tokyo lawyers to join Baker & McKenzie as it strategically strengthens its position as Japan’s leading integrated law firm and as the premier global law firm operating in all of the world’s major financial centers; enhancing its European practices at Baker & McKenzie Tokyo will create one of the largest European teams in Japan.

He received his B.A. in economics from Waseda University in 1971, his LL.M from the Law School of Washington University in 1982, and is admitted in Japan and New York.

Yasunori Hashiguchi’s practice focuses on intellectual property, entertainment and sports law. He has advised world leading software producers on software license agreements, and negotiated key contracts for the media rights, sponsorship rights and licensing rights for global sports events, as well as handling M&A cases in the Media world. He received his LL.B. from the University of Tokyo in 1981, and his LL.M. from the University of Washington in 1991.

Shinichiro Abe handles business restructuring, insolvency law and litigation. As a specialist of Japanese and international business restructuring and insolvency law (and associate- professor at Chuo University Law School) he is highly sought after as an advisor for transactions (including M&A) and structures requiring insolvency protection and solutions. He received his LL.B. and LL.M. from Waseda University in 1987 and 1989 respectively, and an LL.M. from the University of California, Los Angeles, School of Law in 2001.

Markus Janssen has more than 17 years of legal experience in Japan and established Janssen Foreign Law Office, a qualified joint enterprise with Asahi Koma. With extensive contract and transaction experience in various industries he focuses on foreign direct investment of European enterprises in Japan, but also assists Japanese enterprises in important projects in Europe. He has been qualified in Germany since 1985, and has been registered as a foreign lawyer in Japan since 2000.
