Coolidge Wall Attorney Honored as Promising Young Executive
Coolidge Wall is proud to announce attorney Kristin Finch has been selected as one of the 40 young professionals in the Greater Dayton area to be honored this year by the Dayton Business Journal as one of the 40 Under 40 Awards class of 2007.

Ms. Finch will be highlighted in a special edition of the Dayton Business Journal on April 6 as well as at an awards banquet. The 40 Under 40 contest honors the Dayton Region’s most promising young executives and community leaders.

Ms. Finch practices in the areas of general corporate law and commercial real estate law, focusing on mergers and acquisitions and real estate transactions. She has represented primarily privately held organizations in both internal and third-party business restructuring, mergers, and acquisitions, ranging from internal shareholder buy-outs to multi-million dollar sale transactions.

In August 2005 and 2006, Ms. Finch was named an Ohio Rising Star by Law & Politics magazine and featured in Cincinnati Magazine and Ohio Super Lawyers - Rising Star Edition. Ohio Rising Stars were nominated by Law & Politics’ Ohio Super Lawyers as up-and-coming attorneys who are age 40 or younger or have been in practice no more than ten years. Only 2.5 percent of Ohio lawyers received this honor.

Kent-Smith Comments on Revised Southampton Land Proposal
Henry L. Kent-Smith, a Partner in the Real Estate Department, was quoted in this article about his client, Maryland developer Kennard Warfield. Last month, Mr. Kent-Smith presented to the Southampton Township Committee Mr. Warfield's revised proposal to build an age-restricted and continuing-care retirement community. Mr. Warfield's original plan in 2005 was to build an 800-unit development, but the revised proposal significantly reduced the number of units.

Mr. Kent-Smith said the revised proposal calls for nearly 400 residential units, as well as a 99-bed, full-care medical facility and 60 assisted-living beds. Plans for a 40,000-square-foot grocery store, a bank and an 18-hole golf course and club house will remain in the new proposal, he said.

"This is a $3 million-plus (tax) ratable and is something that should be implemented into the long-range plan for the community," Mr. Kent-Smith said. "It's comparable to what they already have in LeisureTowne and with what Pulte is building. This can only benefit the community."

Mr. Kent-Smith also addressed the Committee's concerns about wastewater management and traffic. He explained the two options for wastewater management, and said that a full traffic analysis "demonstrates that (the development) would not cause traffic problems." He also said Mr. Warfield is considering a trolley system to transport residents between LeisureTowne, the Pulte development and the Warfield development.

Public Law Attorneys to Speak at 11th Annual Texas Higher Education Law Conference
"Bracewell & Giuliani LLP attorneys Christopher B. Gilbert, Lynn Rossi Scott and Maureen R.M. Singleton and Janet Sobey Bubert will speak at the Texas Higher Education Law Conference, which will be held on the University of North Texas campus on April 2 and 3.

The group will be speaking on several matters involving higher education administrators, including charter school development by a college or university, the operation of educational foundations in the State of Texas, the education of college students on the dangers of technology, and the recent legal proceedings regarding the Uniformed Services Employment and Re-employment Rights Act (USERRA)."

Orrick Lawyer Clarifies Scope of Trademarks
A resident of Orange County, CA has received and applied for trademarks on community names, spurring confusion among local business owners and homeowners' association members about whether or not they have permission to use community names and symbols that have been used for years.

According to Orange County intellectual property of counsel Sam Stone, if the name of a place is used in a trademark, the owner of the trademark cannot prevent others from using that name in reference to the geographical location. "You can file for registration after you start using a trademark or ahead of time based on a bona fide intention to use the mark in commerce," said Stone.

National Law Firm Foley & Mansfield Expands West Coast
The national litigation firm of Foley & Mansfield is expanding its presence in the San Francisco region with the addition of partners Douglas G. Wah and J. Scott Wood as well as 10 associates from the Emeryville firm of Bishop Barry Howe Haney & Ryder. They will all join the firm as of today.

To accommodate this significant growth, the firm is also moving from its current office location in Walnut Creek to Oakland City Center. The new lease in the Oakland City Center is for 24,000 sq ft while the firm’s former space was approximately 7,000 sq ft. Current Foley & Mansfield partners Lori Cataldo and Eric Sun as well as the rest of the employees from Foley & Mansfield’s Walnut Creek office will also relocate to 1111 Broadway, 10th Floor, Oakland, CA 94607 in the Oakland City Center effective April 1, 2007.

The lease was turned around very quickly. In February the firm began looking at space and the lease was signed on March 1. The firm has been working diligently to make this transition seamless. “Our goal is to be a significant national player so acting quickly to expand and grow will not be unusual in our future. We have to get good at merging cultures and integrating the best practices which will strengthen our whole firm,” states Gary Sharp, one of the partners who originally helped to open the San Francisco Foley & Mansfield office in 2001. Sharp is currently the managing partner of the firm’s Detroit office and was instrumental in this West Coast expansion.

Colorado Bar Association Names Scott Berdan Co-Chair of Securities Subsection of CBA
The Colorado Bar Association (CBA) today announced Scott Berdan's two-year appointment as co-chair of the Securities Law Subsection of the Business Law Section of the CBA. Berdan, partner and chair of Kamlet Shepherd & Reichert's securities and corporate finance practice area, will assume CBA co-chair responsibilities June 21. Jeff Sherman, partner in the corporate group of Faegre & Benson, LLP, will be the other co-chair.

As co-chairs, Berdan and Sherman will manage content of monthly subsection meetings for which members may earn CLE credit. In addition, they will actively review state legislation involving securities laws, provide leadership to their subsection in updating securities laws, and work with administrative agencies to secure appropriate services for the public and the bar.

Joining Kamlet Shepherd in February 2007 to help expand the firm’s securities capabilities, Berdan is involved in a full range of corporate finance and acquisition transactions, with a concentration on public and private equity and debt securities offerings, mergers and acquisitions, and private equity and management sponsored leveraged buyouts. He works with issuers, investors, underwriters, and placement agents, and he counsels public and private companies in all aspects of their businesses, including Securities and Exchange Commission reporting and stock exchange listing requirements, federal and state securities laws and corporate governance matters. Advising Fortune 500 companies and startups, he has experience in a wide range of industries, including manufacturing, entertainment, telecommunications, consumer products, oil and gas, construction, electronic commerce and the Internet, and computer hardware and software.

Berdan has been a long-time CBA member, a speaker to the Securities Subsection, and a panelist for other CLEs and educational events.
