Matheson Ormsby Prentice advises BNP Paribas on first multi-maturity synthetic CDO
Matheson Ormsby Prentice advised BNP Paribas and Omega Capital Investments plc on the issuance of their first multi-maturity synthetic CDO. The deal, known as Waypoint, is managed by Solent Capital and involved the issuance of securities with a value of approximately €260 million referencing a portfolio of investment grade credits. Solent Capital has the ability to extend or reduce maturities to take account of market conditions. The Matheson Ormsby Prentice team was led by Turlough Galvin and Mark O’Sullivan.

Keith Dotseth invited to become a Fellow of the American Bar Foundation
Keith A. Dotseth was recently invited to become a Fellow of the American Bar Foundation. The Fellows is an honorary organization of attorneys, judges and law professors whose professional, public and private careers have demonstrated outstanding dedication to the welfare of their communities and to the highest principles of the legal profession. Membership in The Fellows is limited to one third of one percent of lawyers licensed to practice in each jurisdiction. Members are nominated by Fellows in their jurisdiction and elected by the Board of the American Bar Foundation.

Tandy Patrick Named Interim Chair of World Games 2010 Foundation, Inc.
Tandy Patrick, a Member of the firm's Louisville and Lexington offices, has been named interim chair of the World Games 2010 Foundation, Inc. The World Games 2010 Foundation, Inc. (Foundation), is the organization responsible for planning and conducting the 2010 Alltech FEI World Equestrian Games to be held at the Kentucky Horse Park in Lexington, Kentucky. Tandy replaces Jim Host who announced his resignation as Chair.

“The Commonwealth is indebted to Jim Host for all he has done for Kentucky,” stated Governor Ernie Fletcher. “Jim has been there from the beginning of the 2010 Games efforts and although his experience will be missed, I am confident that Tandy will keep the board on task during this interim period.”

The 12-member Foundation board meets monthly and oversees the independent non-profit organization. Tandy has served on the Executive Committee of the Foundation since its inception. She serves as chair of Greenebaum's Real Estate Team and co-chair of the Equine Law Team. In addition, Tandy serves as chair of the Kentucky Horse Park Commission.

"Jim Host has long played an extraordinary role in the development of the Kentucky Horse Park, going back to its inception in the late sixties,” stated John Nicholson, Executive Director of the Kentucky Horse Park. “As Chair of the Kentucky Horse Park Commission, Tandy Patrick's talent and leadership played a critical part in securing the World Games. We should all be gratified that the Foundation will be the beneficiary of Tandy’s remarkable energy, intelligence and devotion."

“I am honored and excited to take on the role of interim chairman for the Foundation,” said Patrick. “Jim Host is a tough act to follow, but I am confident we will continue his legacy and build toward this terrific event.”

The 2010 Alltech FEI World Equestrian Games, to be held at the Kentucky Horse Park, are the world championships of the eight equestrian disciplines recognized by the FEI, and are held every four years. The Games have never before been held outside of Europe; nor have all eight disciplines ever previously been held together at a single site— both firsts that will be achieved at the Kentucky Horse Park. The 2010 Games are expected to have a statewide economic impact of $150 million. It is anticipated that more than 600,000 spectators will attend the 16-day competition.

Supreme Court Declines To Review Lipitor® Patent
The United States Supreme Court declined to review the decision of the Federal Circuit upholding Pfizer’s basic patent covering Lipitor®, the world’s largest selling drug. Connolly Bove represented Pfizer as both trial and appellate counsel, most recently in successfully opposing Ranbaxy’s petition for certiorari. The decision secures Pfizer’s patent protection over Lipitor® until 2010, and is another in a string of recent victories by Connolly Bove’s patent litigation group, one of the more active practices in the United States.

Briggs Attorney Authors Chapter in Construction Law Book
Briggs and Morgan, Professional Association, announces the release of Aspatore Books’ Inside the Minds: Construction Law Settlements and Negotiations, which includes “Time is Really Money,” a chapter authored by attorney Greg M. Bistram.

According to Aspatore, Construction Law Settlements and Negotiations was devised as an authoritative insider’s perspective of best practices for resolving disputes in the construction industry, from drafting and negotiating contracts to reaching “win-win” settlements.
Greg Bistram is a shareholder and member of the firm’s business litigation section, where his practice includes construction law, commercial litigation, eminent domain, and mediation and arbitration. Bistram’s construction practice involves clients in Minnesota, the Upper Midwest, across the nation and overseas.

He is involved in mediation, arbitration, litigation and counseling for entities and individuals involved in this area. He currently serves as national OSHA counsel for a construction company and has previous direct experience as associate general counsel for a national construction company. He frequently serves as Apr-07 mediator or arbitrator on construction matters in the Upper Midwest.

Bistram is involved in numerous industry organizations, including the Minnesota State Bar Association Construction Committee, the Construction Industry Arbitration Panel for the American Arbitration Association, the Minnesota Associated General Contractors of America board of directors and several of its national committees, and the Procurement and Construction Subcommittees of the National Society of Professional Engineers’ Engineers Joint Contract Documents Committee.

Bistram received his B.A. from the University of Minnesota and his law degree from the Oklahoma City University School of Law. He also holds an L.L.M. in urban studies from the University of Missouri - Kansas City School of Law. He joined Briggs in 1994.

PIONEERING GREEN LAW FIRM WENDEL, ROSEN, BLACK & DEAN ACHIEVES RECERTIFICATION AS A GREEN BUSINESS
At a time when companies are jumping on the “green business” bandwagon, Wendel, Rosen, Black & Dean LLP continues its commitment to sustainable business practices by earning its second certification from the Bay Area Green Business Program. In 2003, prior to the environmental “buzz” of today, Wendel Rosen became the first green law firm in the country and launched its Green Business Practice group.

Wendel Rosen exceeds the requirements of the Bay Area Green Business Program following a series of audits from PG&E, the East Bay Area Municipal Utility District, the City of Oakland and Alameda County. For example, in an industry known for its “paper-pushing,” Wendel Rosen reduces usage in the law firm by using only products with 100 percent post-consumer waste content and chlorine-free recycled paper. Soy-based inks are used in professional print projects, and the firm also encourages electronic transmission of documents whenever possible. These efforts combined save more than 250 trees, 40,000 pounds of greenhouse gases and 31,450 kilowatts of electricity each year.

“Our commitment to a sustainable business model has been in full force since we began our quest to become green. Everyone at Wendel Rosen has embraced our philosophy for the last three years – and at least two years prior as we prepared for our original certification,” said Gina Maciula, the firm’s chief operating officer. “As we anticipated, more and more Bay Area companies – as well as law firms – are sharing our vision. Many companies want to partner with a law firm that embraces values similar to their own – and many fine lawyers and staff want to work for a like-minded firm. Our ‘greening’ has been very successful, even before the increased awareness and tightened environmental regulations of late.”

The Green Business Practice group has doubled its attorney roster in three years. Still co-led by Donald Simon and Bruce Lymburn, the group advises a range of clients that include entrepreneurs, private businesses and large, privately held companies committed to sustainable business practices. Counseling services include advising clients on a myriad of “green” matters, including organics and Fair Trade TM; green building/LEEDTM certification; renewable energy; climate change; clean tech; construction transactions and litigation; distribution agreements; formation of business entities; leasing; secured transactions; and trademark and intellectual property registration, transfers, licensing and protection.

One of Wendel Rosen’s long-time clients is Clif Bar & Co., a leading energy bar and drink company. Lymburn serves as the company’s general counsel on all legal matters and recently became one of a handful of attorneys nationwide to earn Leadership in Energy and Environmental Design (LEED) Professional Accreditation. He assisted in the complex negotiations involved in finding Clif Bar a new headquarters and operations facility, dubbed “Cliftopia,” that met their environmentally responsible and employee-friendly space goals, which included a sustainable building design with access to renewable and solar energy.

Since earning its initial certification, Wendel Rosen and its attorneys have been involved in many Bay Area and national events associated with green business. Donald Simon co-founded the U.S. Green Building Council – Northern California Chapter, is current president of Build it Green and was director of Generation Earth, a nonprofit that teamed with the City of San Francisco to organize United Nations World Environment Day 2005. The firm regularly engages in large-scale environmental events, such as West Coast Green and the San Francisco Green Festival, and in the coming months, are sponsoring the Bay Area Green Business Program’s 10th anniversary event, as well as the upcoming East Bay Business Times’ and San Francisco Business Times’ green programs.
