Bullivant continues Sacramento growth with two new attorneys
Bullivant Houser Bailey PC, a leading West Coast law firm, announced today that it has added Carl J. Schwedler as an Of Counsel attorney and Kevin F. Barrett as an Associate attorney in its Sacramento office.

Schwedler has more than 17 years of experience in the area of intellectual property. He focuses his practice on the preparation and prosecution of patent applications, development of patent portfolios, patent interference, trademark opposition, and oversight of European patents and oppositions. Schwedler joins the firm from McDonough Holland & Allen PC. His previous experience includes serving as general, intellectual property and patent counsel to Calgene. He is admitted to practice before the United States Patent and Trademark Office and in the states of California and Wisconsin. Schwedler holds an A.B. (Biology) from Hope College, an M.S. (Biology) from Wayne State University, and a J.D., cum laude, from University of Georgia School of Law.

Barrett has nearly 20 years of experience and focuses his practice on corporate finance and securities matters. He is admitted to practice in California, New York, Colorado, Utah, Massachusetts, and the District of Columbia. Previously, he was a solo practitioner. Barrett earned his J.D. from University of San Diego, his M.B.A. from University of California, Los Angeles, and his B.S. (Business Administration) from San Diego State University.

Tribune to Go Private
Davis Polk & Wardwell is advising Morgan Stanley & Co. Incorporated as financial adviser to the special committee of the board of directors of Tribune Company in connection with Tribune’s acquisition by a Tribune ESOP and real estate magnate Sam Zell. The transaction is supported by a $315 million investment by Mr. Zell. Tribune is one of the top media companies in the United States, operating businesses in publishing, interactive and broadcasting.

The first stage of the transaction is a self tender offer for approximately 126 million shares at $34 per share in cash. The tender offer will be funded by borrowings and a $250 million investment from Mr. Zell. It is anticipated to be completed in the second quarter of 2007. The second stage is a cash merger expected to close in the fourth quarter of 2007, in which the remaining publicly-held shares will receive $34 per share. Mr. Zell will make an additional investment of $65 million in connection with the merger. Mr. Zell will join the board of directors of the ESOP.

Insight and Comcast Agree to Divide Insight Midwest Partnership
Davis Polk & Wardwell is advising Comcast Corporation on the division of its Insight Midwest partnership with Insight Communications Company, Inc. Comcast is the nation's leading provider of cable, entertainment and communications products and services. Insight Communications is the ninth-largest cable operator in the United States with approximately 1.4 million customer relationships in the four contiguous states of Illinois, Kentucky, Indiana and Ohio.

Comcast and Insight Communications agreed to divide the Insight Midwest partnership in which Insight and a Comcast subsidiary each hold a 50% interest. Upon completion of the transaction, Comcast will own 100% of the cable systems serving Illinois customers in Rockford/Dixon, Quincy/Macomb, Springfield, Peoria and Champaign/Urbana, and Indiana customers in Bloomington, Anderson and Lafayette/Kokomo. Comcast will be responsible for $1.335 billion and Insight will be responsible for $1.260 billion of partnership debt. The transaction is expected to be completed by the end of 2007, pending certain closing conditions, including government and other approvals.

Kilroy Realty Exchangeable Notes Offering
Davis Polk & Wardwell advised J.P. Morgan Securities Inc., Banc of America Securities LLC and Lehman Brothers Inc. as initial purchasers of a $400 million Rule 144A offering by Kilroy Realty, L.P. of its 3.25% exchangeable senior notes due 2012. In connection with the offering, Davis Polk also advised JPMorgan Chase Bank, National Association, Bank of America, N.A. and Lehman Brothers OTC Derivatives Inc. as counterparties to exchangeable capped call transactions.

Kilroy Realty L.P. is the operating subsidiary of Kilroy Realty Corporation, a real estate investment trust (REIT) that owns, operates, develops and acquires Class A suburban office and industrial real estate, primarily in Southern California. As of December 31, 2006, the company’s stabilized portfolio of operating properties consisted of 84 office buildings and 43 industrial properties totaling 11.7 million rentable square feet.

The Davis Polk corporate team included partner Alan F. Denenberg and associates Michael Nordtvedt, Jeffrey Gould (not yet admitted), Beth Hooton Ruiz and Lee Shepard of the Menlo Park office. The tax team included partner Michael Farber and associate Alon Gurfinkel of the New York office. Partner Witold Balaban and associate Rafal A. Nowak of the New York office provided equity derivatives advice. Counsel Loyti Cheng and associate Marie-Christine Eldridge of the New York office provided environmental advice, and New York associate Rachel J. Strum provided 1940 Act advice. Cari M. Hebel of the Menlo Park office was the legal assistant for the transaction.

Weil, Gotshal & Manges LLP Advises Villeroy & Boch AG on Sale of Tile Business
The Frankfurt and Munich offices of the international law firm Weil, Gotshal & Manges LLP advised Villeroy & Boch AG on the sale of a majority share of 51% in V&B Fliesen GmbH, Villeroy & Boch's tiles subsidiary, to the Turkish Eczacibasi Group. Villeroy & Boch AG will continue to hold 49% of the shares in V&B Fliesen GmbH, and the property and buildings at the two tile factories in Germany and France will also remain in its possession.

The transaction team of Weil, Gotshal & Manges was led by partners Gerhard Schmidt and Heiner Drüke (both Corporate, Frankfurt) and was supported by partner Tobias Geerling (Tax, Munich) as well as associates Jan Harmjanz, Hendrik Schmiady (both Corporate, Frankfurt), Marc Gorbauch and Christian Küpker (both Tax, Munich).

Michael Fammler (Baker & McKenzie, Frankfurt) advised Villeroy & Boch AG on IP law issues in this transaction with Ellen Braun (Allen & Overy, Hamburg) handling antitrust matters.

Freshfields Bruckhaus Deringer acted as legal counsel for the Eczacibasi Group.
