Richard G. Leland to Join Fried Frank's Real Estate Practice
Fried, Frank, Harris, Shriver & Jacobson LLP announced today that Richard G. Leland will be joining the firm as a partner in the Real Estate Department, resident in New York. He joins Fried Frank from Kramer Levin Naftalis & Frankel LLP, where he was chair of the Environmental Department.

Mr. Leland is an environmental lawyer and litigator, specializing in the environmental aspects of real estate development and land use. His clients include real estate developers, non-profit organizations, and public authorities. He has represented New York State in the nation’s first privatization of a federal and state owned airport in upstate New York and has assisted major New York City developers, cultural, and educational institutions in environmental impact reviews for real estate developments. He presently represents Forest City Ratner in connection with litigation relating to the Atlantic Yards Development in Brooklyn, Columbia University in connection with a major expansion and the joint venture between The Related Companies and Vornado Realty Trust that is the designated developer for the Moynihan Station project in connection with environmental reviews of that project. He has also represented developers, municipalities, and public authorities in a variety of zoning matters and litigation arising from zoning determinations in suburban counties in the New York metropolitan area.

“We are delighted to welcome Rick to the firm. He is a strong addition to our first-class real estate and land use practices,” added Justin Spendlove, Fried Frank’s Managing Partner.

“Rick’s practice is a natural fit to our firm’s real estate department, which has a predominant presence in the US, and is quickly expanding to Europe and Asia,” said Valerie Ford Jacob, Fried Frank’s Chairperson.

“With Rick’s environmental focus, we will be able to expand the scope of services offered in our land use practice. Stephen Lefkowitz, Melanie Meyers and I have worked closely with Rick before and are looking forward to having him join our team,” said Jonathan Mechanic, chair of Fried Frank’s Real Estate Department.

Mr. Leland is a Special Professor of Environmental Law and Land Use at the Hofstra University School of Law and has been a lecturer at CLE programs for the Association of the Bar of the City of New York.

He is a Member of the Environmental Law Committee of the Association of the Bar of the City of New York, the Environmental Law Section of the American Bar Association, the Environmental Law Section for the New York State Bar Association, and the Chairman of the Environmental Committee and a Member of the Zoning and Transportation Committee for the Real Estate Board of New York, Inc.

Prior to joining Kramer Levin, he was a partner at Rosenman & Colin LLP (now known as Katten Muchin Rosenman LLP). He received his JD, with distinction, from Hofstra University School of Law, where he was a member of the Hofstra Law Review, and his BS from Cornell University. From 1976 – 1979 he served as Law Secretary to the Honorable Douglas F. Young, Supreme Court of Nassau County. He is admitted to the bar in New York.

Freshfields advises Cinven on acquisition of 64.5 per cent stake in Camaïeu
On 22 March 2007, the shareholders of Modamax, the holding company that controls French listed women's clothing retailer Camaïeu, signed an agreement relating to the transfer of 100 per cent of Modamax to Modacin Luxembourg, a holding company controlled by investment fund Cinven.

Modamax, which is a company controlled by investment funds managed by Axa Private Equity, owns directly and indirectly 64.5 per cent of the share capital and 74.1 per cent of the voting rights of Camaïeu.

The sale of Modamax is subject only to obtaining antitrust authorisation from the European Commission. Following completion of the sale, a public offer will be launched for the acquisition of all the remaining shares of Camaïeu held by the public, in accordance with applicable law.

Fenwick & West Obtains Patent Litigation Verdict for Informatica
A jury in San Francisco federal court awarded Fenwick & West client Informatica Corp. (NSDQ: INFA) a $25 million verdict against Business Objects (NSDQ: BOBJ). The award was based on the finding that Business Objects willfully infringed two Informatica patents by sales of its Data Integrator product.

Fenwick & West filed the suit on behalf of Informatica in July 2002, asserting that the ActaWorks product, now sold by Business Objects as Data Integrator, infringes several Informatica patents including U.S. Patent Nos. 6,014,670 and 6,339,775, both entitled "Apparatus and Method for Performing Data Transformations in Data Warehousing." Earlier, the judge determined that, as a matter of law, Business Objects and customers’ use of the Data Integrator product infringed Informatica’s patents. Today, a jury determined that the patents are valid, that Business Objects' infringement was willful, and that a reasonable royalty for Business Objects’ infringement is $25 million. The jury’s determination that Business Objects infringement was willful permits the judge to increase this reasonable royalty damages award up to three times.

Fenwick & West will continue to vigorously defend Informatica's intellectual property rights. In later proceedings, the judge will determine the scope of any injunction to be entered against Business Objects, a potential award of enhanced damages and Informatica’s attorney’s fees, and Business Objects’ defense based on the claim that Informatica engaged in inequitable conduct. An appeal by Business Objects also is expected.

Real Estate Attorneys Brian Belt and Susan Pontigas Join Duane Morris in Miami
Duane Morris LLP is pleased to welcome Brian Belt and Susan Pontigas, formerly of Shutts & Bowen LLP, as partners in its Miami office. Brian and Susan join the firm's Real Estate Practice Group.

Brian has represented many of Florida's prominent real estate developers in such matters as acquisition and sales, land use, leasing, construction and financing. He also handles mixed use planning, land and infrastructure development, construction contracts, financing, negotiations with government, hospitality matters, large mixed use hotel projects and numerous luxury communities. Some of Brian's notable projects include a 200-acre office and industrial park, a 200-acre luxury golf, country club and marina community in Miami-Dade County, disposition of an office building portfolio throughout Florida valued at $130 million, and work on a $300-million condominium project in Northern Miami-Dade County. Brian earned his J.D. from the University of Notre Dame Law School in 1981. He graduated from Kalamazoo College with a B.A. in 1978.

Susan has worked on complex commercial real estate transactions on behalf of local and national real estate developers and lenders. Her experience includes the acquisition and disposition of vacant and improved properties, the structuring, development, construction and management of commercial, residential and mixed use projects and condominiums, the negotiation and settlement of office, retail and industrial leases and the representation of both lenders and borrowers in commercial loan transactions. Susan earned her J.D. from the University of Florida College of Law, with honors, in 1988. She was an editor of the University of Florida Law Review. She earned her Business Administration and Finance Degree from the University of Florida, with high honors.

Armand Acquires C.L. Bailey
Blackwell Sanders represented The C.L. Bailey Co., Marionville, Mo., in a merger transaction that successfully closed the first week in March. The C.L. Bailey Company is a manufacturer of upscale and standard billiard tables, and also is a distributor of billiard and game room accessories and furniture. C. L. Bailey was acquired by Armand Capital Group, a venture capital company that previously acquired a Belgium-based company, which is a leading international distributor and manufacturer of billiard accessories. The transaction was for an undisclosed value, and included a lease of multiple facilities and locations from the majority shareholder, and a group of shareholders acquiring a participating interest in the surviving entity. The transaction team was led by Partner David Agee working with associates Mike Cosby and Amanda Dysart, and corporate paralegal Lynda Fraza.

The deal successfully closed the first week in March. The Chicago office of Winston & Strawn LLP represented the acquiring parties, which utilized a combination of equity, senior debt and mezzanine financing.

Labor and Employment Partner Participates in a Teleconference
Partner Barbara Hoey participated in a teleconference titled "IP and Employment Issues of Online Social Networking, Minimizing the Legal Risks of Blogs, Listerservs, and My Space." The teleconference discussed intellectual property and employment issues that arise with the use of online social networking. Ms. Hoey and her co-presenters addressed the legal implications of participating in and using information from online social networking and how to best avoid liability.
