Brittain Participates in ABA Bar Leadership Institute
Calfee partner Michael E. Brittain, vice president of the Cleveland Bar Association, joined some 300 other emerging leaders of lawyer organizations from across the country at the American Bar Association’s Bar Leadership Institute (BLI,) March 15-17.

The BLI is held annually in Chicago for incoming officials of local and state bars, special focus lawyer organizations and bar foundations. The seminar provides the opportunity to confer with ABA officials, bar colleagues, executive staff and other experts on the operations of such associations.

Brittain joined ABA President Karen J. Mathis of Denver, Colorado and ABA President-Elect William H. Neukom of Seattle, Washington, in sessions of bar governance, finance, communications and planning for a presidential term.

Various ABA entities briefed the participants on resources available from the ABA for local, state, national and specialty bar associations and foundations.

Comcast to Acquire Patriot Media Cable Systems
Davis Polk & Wardwell is advising Comcast on its acquisition of cable systems owned and operated by Patriot Media & Communications. Comcast is the nation’s leading provider of cable, entertainment and communications products and services. Patriot Media is a privately held company owned by cable veteran Steven J. Simmons, Spectrum Equity Investors and Spire Capital.

According to the terms of the transaction, Comcast will acquire the Patriot Media cable systems for a net cash investment of approximately $483 million. Comcast will acquire systems located in central New Jersey, including Princeton and other operations in Somerset, Hunterdon, Morris and Mercer counties. The transaction is subject to regulatory approvals and other customary closing conditions and is expected to close in the third quarter of 2007.

First Data to Be Acquired by KKR
Davis Polk & Wardwell is advising affiliates of Citigroup, Credit Suisse, Deutsche Bank, HSBC, Lehman Brothers and Merrill Lynch as providers of bridge equity commitments in connection with the acquisition of First Data Corporation by an investor consortium led by Kohlberg Kravis Roberts & Co.

According to the terms of the merger agreement, First Data shareholders will be offered $34 per share, valuing the transaction at approximately $29 billion. The transaction is expected to close in the second half of 2007, subject to receipt of shareholder approval, regulatory approvals and other customary closing conditions.

The Davis Polk corporate team includes partner Joseph A. Hall and associate Tanya E. George. Partner Kathleen L. Ferrell is providing tax advice. All members of the Davis Polk team are based in the New York office.

Eco Telecom Structured Financing
Davis Polk & Wardwell advised Deutsche Bank AG London Branch in connection with its purchase of $1.5 billion aggregate principal amount of Series A floating-rate bonds due 2009 issued by Eco Telecom Limited, an indirect Gibraltar subsidiary of Alfa Bank. Eco Telecom’s obligations under the bonds are secured by a pledge of shares in Open Joint Stock Company ‚Vimpel-Communications? and cash margining arrangements, and are guaranteed by Eco Telecom’s parent, Altimo Holdings & Investments Limited, a British Virgin Islands entity. Alfa Bank is one of Russia’s largest privately owned banks. VimpelCom is a leading provider of telecommunications services in Russia, Kazakhstan and elsewhere in the former Soviet Union and its ADRs are listed on the New York Stock Exchange. Deutsche Bank may hedge its exposure to the bonds in the credit default swap market.

Daniel S. Dokos, Weil, Gotshal & Manges LLP partner and chair of the firm’s Banking & Finance practice, was awarded the prestigious Dealmaker of the Year award by The American Lawyer in its Corporate Debt category. The highly sought after distinction is awarded to a select group of attorneys who demonstrate excellence in managing ground-breaking or industry-changing deals. Mr. Dokos is recognized for his leadership role in representing JPMorgan, Citigroup and Goldman Sachs in the secured financing for Ford Motor Company. The loan transaction, totaling $18.5 billion, was the largest corporate loan in history.
