CRAVATH REPRESENTS XEROX IN ITS ACQUISITION OF GLOBAL IMAGING SYSTEMS
Cravath represented Xerox Corporation in its acquisition of Global Imaging Systems, which sells and services document management systems, for approximately $1.5 billion. The lawyers involved in this matter are partners Scott A. Barshay and George F. Schoen and associates Michael A. LaGatta, Johnny G. Skumpija and Stephen M. Kessing on corporate matters; partner Stephen L. Gordon and associates Anne Kim and Christopher K. Fargo on tax matters; and partner Eric W. Hilfers and associates Jennifer S. Conway and Julia Gray on executive compensation and benefits matters. The deal was announced April 2, 2007.

MIKE SCHLER TO SPEAK AT FEDERAL TAX INSTITUTE IN CHICAGO
Cravath partner Michael L. Schler will speak at the 26th Annual Federal Tax Institute at the Chicago-Kent College of Law, Illinois Institute of Technology in Chicago. Mike will serve as a panelist for a discussion entitled "Corporate Reorganizations, Spinoffs and Merger & Acquisition Transactions: Tax Planning for Healthy Corporations". Panelists will discuss recent developments relating to corporate transactions, including regulations and rulings concerning tax-free reorganizations, spinoffs and consolidated returns.

Firm's Business Development Activities Featured in The Wall Street Journal
Bryan Cave's female attorneys are making great strides, not only in new shoes, but with their business development initiatives. On Tuesday, March 13, nearly 30 lawyers in New York attended a shoe event and Turkish dinner on the Upper East Side of Manhattan with clients and potential clients. This wasn't your typical networking event, which is why The Wall Street Journal featured Bryan Cave March 26 as a cutting-edge law firm for fostering business development at such women-only gatherings.

The firm encourages activities that allow attorneys to network and build on the relationships they have without feeling pressure to bring back business immediately. "High Power and High Heels: Companies Move Beyond Sports, Steak and Scotch To Cultivate New Clients" written by Carol Hymowitz highlights the firm's marketing and relationship-building efforts, as well as its diversity initiatives. As one client stated in the publication, "The shoes were an icebreaker for starting conversations," says Elizabeth DaSilva, managing director, Global Trust Services, Americas at Bank of New York. New Lawyer Joins Bryan Cave LLP in New York
Lawrence J. Hurley has joined the international law firm Bryan Cave LLP as counsel in the firm’s New York office. Hurley joins Bryan Cave’s Labor and Employment Group from Lucent Technologies, Inc., where he served as Law Vice President.

“Larry will play a significant role in expanding the New York office’s labor and employment practice,” said Dennis Fleischmann, managing partner of the firm’s New York office.

During his 21 years with Lucent, Hurley was an executive level corporate counsel, leading the Labor and Employment practice group. He also was Chief Litigation Counsel for a number of years, a member of the Law Division Senior Leadership Team and chair of the Law Department corporate compliance team. Hurley advised many of the company’s senior leaders on a full range of litigation, corporate compliance and labor and employment matters, including union relations, collective bargaining issues, force management and employment discrimination issues. He also has experience defending nationwide class action suits concerning employment discrimination and violations of ERISA, as well as unfair labor practice proceedings having nationwide scope.

Hurley was honorably discharged from the United States Army in 1971 with the rank of first lieutenant, and his decorations include the Army Commendation Medal and Bronze Star for service in Vietnam. He is a fellow of the College of Labor and Employment Lawyers.

Hurley received his J.D. in 1974 from Catholic University School of Law and his B.S. in 1969 from the University of Dayton, Ohio.

Mihalevich Named to 40 Under 40
The Springfield Business Journal named Blackwell Sanders attorney Kathryn (Kate) Mihalevich to its 2007 40 Under 40 class. Mihalevich and other honorees will be recognized at 5:30 p.m. May 17 at the Oasis Inn & Convention Center in Springfield.

Mihalevich is a member of Blackwell Sanders’ Corporate Department and the Healthcare practice group. Prior to joining Blackwell Sanders, Mihalevich was an associate at a firm located in central Illinois. Her experience includes healthcare transactions, regulatory compliance work and medical malpractice litigation. She earned her Masters Degree in Health Administration from Saint Louis University School of Public Health in 2003, while completing her J.D. and her Health Law Certificate at Saint Louis University School of Law. In 1999, Mihalevich received her B.S. in Biology from Wake Forest University.

Geoffrey Karny Named to Washington, D.C. Super Lawyers
Geoffrey M. Karny, a partner at Baker & Daniels LLP, has been named to the Washington, D.C. Super Lawyers for 2007. Super Lawyers identifies the top 5 percent of attorneys in D.C., based on the survey of more than 35,000 lawyers across the District of Columbia.

Karny, who was named to the Virginia Super Lawyers in 2006, practices in intellectual property and life sciences, particularly in patent law. He has more than 25 years of experience in meeting the specialized needs of biotech and other life science companies. Karny has counseled clients on developing and implementing corporate IP strategies, starting company patent departments, building patent and trademark portfolios, negotiating and preparing technology transaction agreements and conducting IP due diligence in corporate transactions.

With a combination of law firm and in-house experience, Karny provides business-oriented solutions to legal problems. Before joining Baker & Daniels, he managed the patent departments of two biotech companies, Gene Logic Inc. and Genetic Therapy Inc., and was a senior patent counsel for Novartis. Karny also worked in the Office of Technology Assessment (OTA), a science policy arm of the U.S. Congress.

Karny currently serves on the editorial board of Biotechnology Law Report. He received his bachelor's degree in chemistry from Cornell University and Juris Doctorate from the New York University School of Law.

Kelley Drye's International Trade & Customs Lawyers Help U.S. Activated Carbon Industry Fight Dumped Chinese Imports
Kelley Drye's International Trade team has secured a significant victory on behalf of the domestic activated carbon industry. The U.S. International Trade Commission (ITC) unanimously found that the industry has been materially injured by competing Chinese products that are sold in the U.S. at less than fair value.

The decision follows a thorough investigation by the U.S. Department of Commerce, which determined that special duties ranging from 62% to 228% should be imposed on all activated carbon imports from China. The Commerce Department is expected to issue an antidumping duty order in mid-May. Kelley Drye served as counsel to the petitioners, Calgon Carbon Corp. and NORIT Americas Inc. The antidumping petition was originally filed in March 2006.

"Through extensive economic analysis of the operations and pricing practices of Chinese producers and exporters, we were able to help protect an important domestic industry," explained David A. Hartquist, lead counsel and Chair of the International Trade and Customs practice at Kelley Drye. "The U.S. activated carbon industry can and will compete with any producers in the world, if imports are fairly traded and not dumped."

Antidumping duties are collected by U.S. Customs and Border Protection when the product arrives in the United States. Antidumping duties are intended to offset the amount by which activated carbon from China is sold at less than fair value in the United States, thus eliminating the margin of dumping.

Typical uses of steam activated carbon include removing objectionable tastes and odors from drinking water; reducing organic compounds in waste water; removing color and impurities from foods and chemicals; and removing mercury and dioxins from flue gas emissions.

In addition to the Kelley Drye legal team, William H. Crow II and Brad Hudgens, economists with Georgetown Economic Services, assisted in the case.
