Milbank Closes Arrow Electronics’ $485 Million Acquisition of Agilysys’ Keylink Systems Group
In a move to capitalize on the rapid growth of the value-added storage and software business, Arrow Electronics, Inc. has completed its $485 million acquisition of the KeyLink Systems Group distribution group of Agilysys, Inc. and Agilysys Canada Inc. The international law firm Milbank, Tweed, Hadley & McCloy LLP represented Arrow Electronics, Inc., Support Net, Inc. and Arrow Electronics Canada Ltd. in structuring the transaction and negotiating and preparing the definitive documents relating to the acquisition.

The Milbank team representing Arrow Electronics was led by New York-based Global Corporate partners Howard S. Kelberg and David J. Wolfson. New York-based Milbank associate Scott McClelland also worked on the transaction. Goldman, Sachs & Co. acted as financial advisor.

Mr. Kelberg noted, “We were pleased to represent long-time Milbank client Arrow Electronics in this strategic acquisition. The deal further establishes Arrow as a global leader in the distribution of electronic and computer products, services and solutions.”

About the Transaction:
In a $485 million all cash transaction, Arrow Electronics, Inc. (“Arrow”) has acquired substantially all of the assets and operations of the Agilysys’ KeyLink Systems Group (“KeyLink”), a leading enterprise computing solutions distributor. Arrow has also entered into a long-term procurement agreement with the Agilysys Enterprise Solutions Group, Agilysys’ value-added reseller business.

Based in Cleveland, Ohio, KeyLink is a leading value-added distributor of enterprise servers, storage and software in the United States and Canada. The acquisition of KeyLink, which will be integrated into Arrow’s Enterprise Computing Solutions (“ECS”) group, increases Arrow’s market share in the rapidly growing segment of value-added storage and software. Arrow also becomes the largest distributor of IBM and HP Enterprise Products.

Headquartered in Melville, New York, Arrow serves as a supply channel partner for more than 600 suppliers and 140,000 original equipment manufacturers, contract manufacturers and commercial customers through a global network of 260 locations in 55 countries and territories.

GE Energy Financial Services and Alinda Investments Purchase U.S. Retail Natural Gas Division from Kinder Morgan for $710 Million
GE Energy Financial Services and Alinda Investments LLC have completed the purchase of Kinder Morgan, Inc.’s U.S. retail natural gas division for $710 million plus working capital, it was announced today. The international law firm of Milbank, Tweed, Hadley & McCloy LLP represented Alinda Investments LLC, an affiliate of Alinda Capital Partners LLC, in the 50/50 joint purchase. Lakewood, Colorado-based Kinder Morgan distributes natural gas to more than 260,000 customers in Colorado, Nebraska, Wyoming, and Hermosillo, Mexico through nearly 12,000 miles of pipelines. The transaction has received full regulatory approval.

Edwin F. Feo, co-chair of Milbank’s Global Project Finance Group, who represented Alinda Investments commented, “This transaction marks the entrance of Alinda as a new infrastructure fund into the energy space. We expect to see continuing interest in the energy sector by similar funds” The Milbank team included Mr. Feo , tax partner Simon Friedman, and associate Michael Tardif. Charles Westland, of counsel in New York, completed the team.

Norling Quoted on Recent Plastic Bag Ban
Plastic grocery bags were recently banned in San Francisco, the first U.S. city to adopt such a rule. Several news websites such as those of KTVO, KLFY, WOI TV, KFSM, WHNS, foxCarolina.com and InterestAlert.com all carried an article that presented eight experts commenting on the ban. Jon Norling was one of those experts presented.

Jon is quoted as saying, "'While the ban on plastic bags is an effective means of increasing markets for biodegradable plastics, it might be subject to a legal challenge that the law is an undue burden on interstate commerce, especially where it is targeting stores that have operations in multiple states.

Barry Pollack Interviewed About Defense of Former State Senator
The Baltimore Sun ran a story about the appointment of Barry Pollack, Partner in the Litigation and White Collar Crime/Internal Investigations Practice Groups, as defense counsel to Thomas L. Bromwell Sr., a once-prominent Maryland state senator who federal prosecutors have charged with racketeering. Mr. Pollack called for the public to wait to hear the facts in the case before passing judgment on his client. The article highlighted Mr. Pollack's successful defense of Michael Krautz, an accountant with Enron's broadband unit, and mentioned his inclusion in the current editions of The Best Lawyers in America and Washington, DC Super Lawyers. Jury selection in Mr. Bromwell's case is expected to begin September 25. Mr. Pollack was also quoted in an Associated Press article about Mr. Bromwell.

Dickinson Wright Attorney John H. Norris Selected to Consult with State of Indiana on $2 Billion Coal Gasification Project
Dickinson Wright attorney John H. Norris has been selected by the State of Indiana to serve as a consultant to its Office of Utility Consumer Counselor in connection with a $2 billion coal gasification project in southwest Indiana.

The centerpiece of the project will be a plant that turns coal into substitute natural gas, using state-of-the-art technology to squeeze clean, pipeline-quality gas out of locally produced high-sulfur coal. The site of the plant has not been determined, but it is expected to be in southwestern Indiana. Among the positives cited by the project's supporters are the creation of more than 1,000 jobs and a buffer against the need to import more expensive natural gas into Indiana.

Mr. Norris was selected through a search process conducted by the Office of Utility Consumer Counselor. His primary role is to consult with the Consumer Counselor about the economic viability of the project and the related long-term gas purchase contracts expected to be signed by the project sponsor and three large Indiana utilities.

Mr. Norris is a Member in the Bloomfield Hills office of Dickinson Wright PLLC. His practice is focused on energy and public utilities. He holds a B.A. degree in political science and Russian studies from Indiana University and a J.D. degree from the University of Michigan Law School.

Curtis London, led by Eero Rautalahti, has acted as the lead transaction counsel in the IPO of Ekspress Grupp, an Estonian publishing company operating in the Baltic States. The transaction comprised a public offering under the EU Prospectus Directive and a private placement to European institutional investors. The Firm's client Suprema Securities was the Global Coordinator and Bookrunner for the offering which was eight times over-subscribed. The value of the transaction was $41 million and gave the company a market capitalization of $127 million.

Other Curtis attorneys who worked on this matter include Tom Mackay, Gerd Laub, Nick Donnelly and Chrysola Kounoupa in London and Peter Stewart and Jean Poh in New York.
