Freshfields appoints five partners in Asia
Further strengthening its Chinese and Japanese capabilities, international law firm Freshfields Bruckhaus Deringer has appointed five partners in Asia, effective 1 May 2007. The new partners are:

· Alan Wang (Corporate, Shanghai)

· Jack Wang (Corporate, Shanghai)

· Junzaburo Kiuchi (Corporate, Japan)

· Paul Ng (Finance, Hong Kong)

· Peter Yuen (Dispute Resolution, Hong Kong)

Hong Kong managing partner, Clive Rough said, 'This is a great day for the firm and our clients in Hong Kong-China. The election of these four dynamic, talented individuals to the partnership further strengthens our leading China team and is a reflection of our commitment to provide world class legal services to our clients in China in the years to come.'

Tokyo office managing partner, James Lawden commented, 'Junzaburo is our first home grown bengoshi partner. We are committed to the Japanese market and expect this appointment to be just the beginning of promotions to partnership from our highly talented group of lawyers.'

PROFILES

Alan Wang is based in our Shanghai office. He has been with the firm's China business group since 1998 and has worked in our Beijing and London offices. His practice focuses on cross-border M&A, China-related direct foreign investment and corporate restructuring as well as financial services. Recent experience includes: advising Deutsche Asset Management on the acquisition of a 19.5% stake in Harvest Fund Management; and Overseas Chinese Banking Corporation on its US$74m acquisition of a 12.2 per cent strategic stake in Ningbo Commercial Bank. Alan is fluent in Mandarin and English.

Jack Wang has worked in Asia on PRC related transactions since 1997 and joined the Shanghai office in August 2002. His practice focuses on cross-border M&A transactions, foreign direct investment and general corporate work in the Greater China region. Jack also has extensive experience advising clients on operational issues in China such as product distribution, real estate and tax. Recent experience includes: advising on the voluntary takeover of the Hong Kong listed Senyuan International Holdings Limited and advising various private equity funds on their investments in the PRC. Jack is fluent in Mandarin and English.

Junzaburo Kiuchi is a corporate lawyer based in our Tokyo office. His practice areas cover M&A, private equity, venture capital, restructuring, joint ventures and general corporate matters. His experience includes advising both Japanese and multinational companies, including: advising Goldman Sachs on various transactions including investment in eMobile and exit from investment in Sanyo Electric Credit; British Telecommunications plc on its joint venture with KDDI; Puma on the joint venture with Hit Union; and Daiwa Securities SMBC Principal Investments on the investment in Daiwa Seiko, Inc. Junzaburo was admitted as a Japanese bengoshi in 1999 and to the New York Bar in 2004. He speaks Japanese and English.

Paul Ng joined the Hong Kong office in August 2006 after periods in our London and Shanghai offices. He is a senior member of the Finance team with a specific focus on the banking and leasing sector in China and also the asset finance and transportation sector in Asia generally. Paul's recent experience includes: advising the Bank of China on its US$965m acquisition of Singapore Aircraft Leasing Enterprise; and Asia's largest low cost carrier, Air Asia, on the financing of 36 Airbus aircraft worth over US$1bn dollars. Paul is fluent in English and Mandarin.

Peter Yuen joined Freshfields in 1996. He advises on a range of commercial disputes including China related business disputes, regulatory and corporate compliance related investigations, banking related litigation, IP related disputes and professional negligence litigation. He has acted for clients in High Court proceedings in Hong Kong, court proceedings in China as well as arbitration proceedings (both ad hoc and institutional) in a variety of venues. Recent matters include: acting for a European food and beverage producer in arbitration proceedings against its joint venture partner in China and defending a PRC technology company in an arbitration proceedings in London against claims arising from two technology licenses. Peter speaks fluent Mandarin, Cantonese and English.

Freshfields advises on VF Corporation's acquisition of The North Face® branded business in China
VF Corporation yesterday announced that it had acquired The North Face® branded business in China from its licensee, Korea-based Youngone Corporation. The North Face® is one of VF Corporation's key brands and VF will now assume responsibility for the brand's rapid growth in China.

International law firm Freshfields Bruckhaus Deringer advised VF Corporation on the acquisition which also included, in addition to the wholesale business, one freestanding retail store in Beijing. In China the brand will operate from sales offices in Shanghai, Beijing and Guangzhou.

Partner Connie Carnabuci led the Freshfields Bruckhaus Deringer team. Connie commented, "The North Face® is a very well received outdoors apparel brand in China, and VF is well placed to capture growing demand for outdoor apparel through a combination of outstanding product, and excellent marketing and administration systems."

Freshfields Bruckhaus Deringer advises on the Hong Kong Stock Exchange debut of Intime Department Store
International law firm Freshfields Bruckhaus Deringer has advised on the initial public offering (IPO) and Hong Kong Stock Exchange listing by Intime Department Store (Group) Company Limited ("Intime"), the largest department store chain in China's Zhejiang province, which completed on 20 March 2007. The retail portion of the global offering was more than 230 times over-subscribed. Total gross proceeds from the IPO exceeded US$355m (including exercise in full of the 15 per cent over-allotment option) . Freshfields Bruckhaus Deringer acted as Hong Kong and US counsel to the issuer.

Intime currently operates five stores in Zhejiang province and plans to open over 10 new stores in the next five years and expand its geographical coverage through acquisitions. Intime has recently teamed up with Lotte, one of the largest department store operators in South Korea, to invest US$60m in a department store in Beijing that is expected to commence operation in 2008.

Freshfields Bruckhaus Deringer also represented Warburg Pincus in its initial investment in Intime.

The Freshfields Bruckhaus Deringer team was led by Hong Kong-based partner Tim Steinert. Tim commented "We are excited to have been involved with this fast-moving company and with Warburg Pincus in what is certainly going to be a dynamic industry in China for some time."
