Milbank Represents Cerberus in $370 Million Acquisition of Remington Arms Company
Remington Arms Company, Inc. has announced that it will be acquired by an affiliate of Cerberus Capital Management, L.P. for an estimated value of $370 million including assumption of all of Remington’s approximate $252 million of funded indebtedness related to their Revolving Credit Facility, 10.5 percent Senior Subordinated Notes due 2011 and other indebtedness. The international law firm Milbank, Tweed, Hadley & McCloy LLP is representing Cerberus with respect to the transaction.

The Milbank team representing Cerberus was led by New York-based partner Roland Hlawaty. New York-based Milbank associates Megan P. Moore, Anders Moberg and John Timmermann also worked on the transaction.

Intellectual Property Litigator Joins Latham & Watkins as Partner in Silicon Valley Office
Latham & Watkins LLP1 is pleased to announce that intellectual property litigator, Peter Chen, has joined the firm's Silicon Valley office as a partner, effective April 1, 2007. Chen has an established practice as a litigator and specialist in patent and other intellectual property disputes.

Chen has handled complex patent litigation for Fortune 500 and high profile technology companies, including nearly 50 patent infringement lawsuits, copyright infringement litigation for software clients, and more than 25 trade secret lawsuits, several of which involved parallel criminal proceedings. He also advises companies on a broad range of intellectual property issues involving licensing, patent strategy, standards organizations, information security, and open source licensing.

"The Silicon Valley business community provides vast opportunities for intellectual property lawyers, especially those having first-hand subject matter experience in the semiconductor, software, Internet and life sciences areas and deep connections with Valley companies, entrepreneurs, venture capitalists and academicians. His legal expertise and deep industry knowledge will add further depth to Latham's strong intellectual property practice."

Chen joins from McDermott Will & Emery LLP, where he has been a partner since 2003. At McDermott he was the head of its 40-lawyer IP department in the Silicon Valley office, and was co-chair of the firm's Diversity Committee. He started his legal career as an intellectual property litigation associate at Brobeck Phleger & Harrison, and in 1987 he joined Wilson Sonsini Goodrich & Rosati as an associate in its intellectual property litigation group. Chen was a partner at Wilson Sonsini from 1991 to 2000, and he left to become Vice President, General Counsel and Secretary of Keen, Inc., an Internet and telephony start-up. In 2001, he joined Linear Technology Corporation as General Counsel and then served in 2002-03 as the Vice President of Intellectual Property and Associate General Counsel at Cadence Design Systems, Inc.

Chen holds both a Bachelor of Science degree and a Master of Science degree in Biological Sciences from Stanford University and received his law degree from the University of California, Davis in 1983, where he was Executive Editor of the U.C. Davis Law Review. From 1997-2000, he served as a Lawyer Representative to the Ninth Circuit Judicial Conference. He is registered to practice before the United States Patent and Trademark Office.

Krieg DeVault LLP Announces New Associate Mark T. Stephenson

King & Spalding’s Philip Weems Headlines Dubai Conference On Middle East Petroleum and Gas
Philip R. Weems, managing partner of the Dubai office of King & Spalding, a leading international law firm, is a featured speaker at the 15th annual Middle East Petroleum and Gas Conference in Dubai, United Arab Emirates, April 15-17. Weems is also head of the King & Spalding’s energy practice group.

Weems will address issues related to Middle East gas and LNG at a plenary session on April 17.

TWO GODFREY & KAHN LAWYERS RECEIVE OUTSTANDING VOLUNTEER AWARD FOR MILWAUKEE 7 CEO CALL PROGRAM EFFORTS
Two lawyers from Godfrey & Kahn, S.C. were among 17 people recognized as outstanding volunteers by The Milwaukee 7 at its recent advisory council meeting: Christine Liu McLaughlin, shareholder and member of the Labor & Employment Practice Group in the firm’s Milwaukee and Waukesha offices, and Mark C. Witt, shareholder and member of the Corporate Practice Group in the firm’s Milwaukee office. The awards were presented in appreciation of McLaughlin’s and Witt’s professional connections that helped open the door to many CEOs during the Milwaukee 7 CEO Call Program.

The Milwaukee 7, launched in September 2005, was formed to create a regional, cooperative economic development platform for the seven counties of southeastern Wisconsin: Kenosha, Milwaukee, Ozaukee, Racine, Walworth, Waukesha and Washington. The CEO Call Program includes a team of 135 volunteers who have visited with the CEOs of 450 companies to aggregate information for a more systematic understanding of the business climate and address concerns to help attract, retain and grow diverse businesses and talent.

Christine Liu McLaughlin
McLaughlin provides counsel on an array of issues including hiring, discipline and termination; family and medical leave; federal and state disability discrimination; federal and state civil rights and fair employment; sexual and other unlawful harassment; workplace violence; contingent workforce; and affirmative action and compliance. She has conducted workshops and seminars on these and other employment law topics in Wisconsin as well as nationally. Additionally, McLaughlin was instrumental in the creation and implementation of Legal Resource Training, Godfrey & Kahn’s interactive training service initiated as a proactive tool to help clients avoid employment litigation.

McLaughlin is a member of the Society for Human Resource Management and the Human Resource Management Association of Southeastern Wisconsin.

Mark C. Witt
Witt’s practice is focused on business law, mergers and acquisitions, corporate finance, private equity and venture capital. Mark has been involved in numerous public and private business transactions as counsel to buyers, sellers, lenders and investors. He also is experienced in international business transactions and restructurings, including private equity and hedge fund investments in Asia. He assisted with the creation of Godfrey & Kahn's Shanghai office.

Witt serves as Chairman of the Board of Directors of the YMCA Holton Youth Center, and is a member of the Advisory Board of WIN-Milwaukee, and the Board of Directors of the Milwaukee Curling Club.

GOULSTON & STORRS ELECTS SEVEN NEW DIRECTORS

Ms. D’Amato’s practice focuses on a variety of complex litigation matters, including employment disputes, professional malpractice claims and various contractual and real property related matters. She represents corporate and individual clients in a variety of forums, including state and federal court and administrative proceedings. Ms. D’Amato holds a BA degree from Fairfield University and a JD from Boston College Law School. Ms. D’Amato is a member of the Boston Bar Association and is admitted to the Bar in Massachusetts.

Ms.DosSantos. focuses her practice on the defense of claims alleging employment discrimination of all types, as well as non-competition and other employment contract disputes. Additionally, she has experience in traditional labor matters, representing and counseling unionized employers. Ms. DosSantos holds a BA degree from Georgetown University, magna cum laude, and a JD, cum laude, from Harvard Law School.. Ms. DosSantos is a member of the American Bar Association, the American Employment Law Counsel, the Massachusetts Bar Association and the Massachusetts Women’s Bar Association and is admitted to the Bar in Massachusetts.

Mr. Klotz is a member of our Commercial Law practice. He has experience in all aspects of commercial bankruptcies, insolvency proceedings and loan financings and workouts. Mr. Klotz holds a BM from Berklee College of Music and a JD from Boston College Law School. He is admitted to the Bar in Massachusetts and Minnesota.

Mr. Mitchell focuses his practice in the areas of private equity, venture capital, mergers and acquisitions, technology licensing and general corporate law. A significant portion of his practice involves cross-border transactions, including financing and commercial transactions in Canada, Germany and China. Mr. Mitchell holds a BA from the University of Massachusetts, Amherst, and a JD from the UCLA School of Law. Mr. Mitchell is admitted to the Bar in Massachusetts and New York.

Ms. Paine advises nonprofit clients and for profit developers concerning the preservation of affordable rental housing, represents community development corporations in connection with revitalization plans and commercial development, and counsels lenders concerning public welfare investments. Ms. Paine holds a BS from Northeastern University and a JD from Georgetown University Law Center. She is a member of the American Bar Association and is admitted to the Bar in Virginia and the District of Columbia.

Mr. Rottenberg practices in the real estate group, where he focuses on commercial real estate acquisition, financing, development and leasing. He received a BA, magna cum laude, from Dartmouth College, an MAT from Tufts University/Shady Hill School, and a JD from New York University School of Law. Mr. Rottenberg is a member of the Massachusetts Bar Association and is admitted to the Bar in Massachusetts.

Mr. Tardy practices commercial real estate law with a primary focus on the representation of developers, owners and institutional investors in the acquisition, finance, restructure and sale of commercial properties throughout the country. Mr. Tardy holds an AB from Harvard University and a JD from the University of Maine School of Law. He is a member of the American Bar Association, the Boston Bar Association, the Maine Bar Association and the Massachusetts Bar Association. Mr. Tardy is admitted to the Bar in Maine and Massachusetts.
