Big Suits: Fenwick Verdict One of Top Five Patent Litigation Awards
Fenwick & West's Asyst litigation team was recently featured in an American Lawyer article entitled "Big Suits."

In one of the top-five patent litigation awards in the past 15 months, a federal jury in San Jose awarded $74.7 million to Asyst Technologies, Inc., a Silicon Valley company that makes equipment for semiconductor foundries.

The January 31 decision against Jenoptik AG marks the end of an 11-year battle.

Asyst claimed at trial that when the technology—known as the SMART-Traveler System—came onto the market in the early 1990s, it fundamentally changed the industry. But in 1995, Asyst alleged, Jenoptik began marketing its own version, using inside information obtained by executives that partnered with Asyst in the 1980s, eventually causing their sales to drop.

The trial, originally scheduled for 1998, was twice dismissed on summary judgment and twice overturned by appellate judges over the seven year period.

The nine-day trial began on January 12, 2007. The jury awarded $43.2 million to Asyst for price erosion, with the balance for lost profits through 1998. The defense says it plans to appeal.

Fenwick & West Represents Agilent Technologies in Acquisition of Stratagene
Fenwick & West LLP represented Agilent Technologies, Inc. (NASDAQ: A) in its recently announced acquisition of Stratagene Corporation (NASDAQ: STGN). Stratagene, based in La Jolla, CA, is a developer, manufacturer and marketer of specialized life science research and diagnostic products. Under the terms of the agreement, Stratagene will operate as a division within Agilent's Life Sciences Solutions Unit. The transaction is subject to certain closing conditions set forth in the merger agreement, including approval by Stratagene stockholders of the merger and regulatory review, and is expected to close in approximately 90 days.

CRAVATH REPRESENTS GLOBAL AERO LOGISTICS IN ITS ACQUISITION OF WORLD AIR HOLDINGS
Cravath represented Global Aero Logistics Inc., the parent company of ATA Airlines, in its acquisition of World Air Holdings, Inc., the parent company of World Airways, Inc. and North American Airlines, Inc., for $315 million. The lawyers involved in this matter are partner Ronald Cami and associates Angela Olivarez, Benjamin A. Aronovitch and Gregory P. Sandukas on corporate matters; partner Michael L. Schler and associate J. Leonard Teti on tax matters; partner Eric W. Hilfers and associate Jin Hee Kim on executive compensation and benefits matters; and associate Annmarie M. Terraciano on environmental matters. The deal was announced on April 5, 2007.

Urban League Rewards Blackwell Sanders for Focus on Equality
Blackwell Sanders’ Kansas City office received the Equalizer Award for Advancing Corporate Diversity and Inclusion from The Urban League of Greater Kansas City at its annual awards luncheon on March 30. The Urban League commended Blackwell Sanders for the firm’s dedication to equality.

The Equalizer Award is given to corporations showing measurable results in these areas:

* Consistent, proactive outreach to and support of sources that can provide qualified minority applicants
* Active recruiting of minorities with proven intention to schedule interviews
* Placement of minorities within the organization at appropriate levels with a focus on management and executive levels
* Retention of minorities throughout the organization

* Inclusion and acceptance of minorities in management or other training programs
* Inclusion of minorities in succession plans
* Minority internship development

Hodgson Russ partner Richard B. Raymer named managing partner of Toronto office
Richard B. Raymer, a partner in Hodgson Russ LLP's Corporate & Securities and International/Cross-Border Practice Groups, has been named managing partner of the firm's Toronto office. Mr. Raymer follows George J. Eydt, a partner in the same practice groups.

Gary M. Schober, president and CEO of Hodgson Russ, says, "We are confident Richard will perform this job with much skill, vision, and energy. He is one of the youngest attorneys to become managing partner of one of our offices, and he has a lot to contribute to the Toronto office and community."

Mr. Raymer concentrates his practice on advising Canadian companies regarding U.S. corporate law issues, with a focus on access to U.S. capital markets, corporate structures, and cross-border mergers and acquisitions. Born in Montreal, he speaks fluent French. He is the author of several articles, including one on comparative mergers and acquisitions law in Canada and the U.S. The International/Cross-Border Practice Group is a team of U.S. lawyers dedicated to serving the needs of Canadian and other international companies and their professional advisors relative to business expansion into the United States.

Partner to Speak at National Forum on Payment Systems
Joel Hewer, a Partner in the Consumer Financial and Merchant Services and Advertising and Marketing Practice Groups, will speak at the 3rd National Forum on Payment Systems, presented by American Conference Institute. Mr. Hewer will be joined by the vice president and debit counsel of MasterCard to discuss the legal and operational risks as they apply to new products and payment processes. Their presentation will take place at 3:00pm on April 30, 2007.

Clark Hill Education Attorneys to Present at 2007 Michigan School Business Officials Annual Conference in Grand Rapids
Attorneys from the Education Group at Clark Hill PLC will present to school officials from Michigan during the 2007 Michigan School Business Officials (MSBO) Annual Conference in Grand Rapids on April 24-26. Attorneys Dana L. Abrahams, James C. Crowley, Marshall W. Grate, and Jeremy S. Motz will present during the three day conference, which will be held at the Amway Grand Plaza Hotel in downtown Grand Rapids.

On April 24, Dana Abrahams and Marshall Grate will present “Technology in Administration,” and Jeremy Motz will present “School Law Overview.” On April 25, James Crowley will present, “Borrowing Best Practices.” On April 26, Abrahams will present “Purchasing Practices and Purchasing Law: The Basics,” Crowley will present “How to Establish and Maintain a School Foundation,” and Motz will present “Spending and the Law.” Abrahams’ final presentation, “Legal Issues in Selling and Buying Real Estate” will also be held on April 26.

Abrahams is a member of Clark Hill’s Birmingham office, and concentrates her practice in the areas of education law, real estate law, construction law, computer and technology law, business law, tax law and municipal finance. She has extensive experience representing Michigan school district clients in all aspects of public school law. She represents public school districts, as well as private-sector individuals and entities, in the appraisal, sale, acquisition and lease of real property. In addition, she is experienced in all phases of contracting and other transactional matters, with particular focus on the construction industry.

Abrahams earned her A.B. from the University of Michigan, her J.D., cum laude, from the University of Detroit-Mercy School of Law and her L.L.M. in Taxation from Georgetown University Law Center.

Crowley is a member in the firm’s Birmingham office, where he concentrates his practice in the areas of municipal finance law, school and municipal law, tax-exempt organizations, employee benefits law, and tax law. He has extensive experience in municipal and school finance. He regularly serves as bond counsel, underwriter's counsel, and disclosure counsel for school districts, and various municipalities. In these capacities he has served as counsel relating to tax-exempt and taxable financings, fixed and variable rate financings, general obligation and revenue financings, unlimited and limited tax financings, and conduit financings.

Crowley earned his B.A. from Michigan State University and his J.D. from Wayne State University Law School.

Grate is a Senior Attorney in Clark Hill’s Grand Rapids office, where in addition to the Education and Municipal Law Group, and he is a member of the Labor and Employment Law Group. He focuses his practice in public school law, labor and employment law, municipal corporations, and private sector employers. Grate has broad experience in all labor and employment matters, but focuses on personnel administration, wage and hour issues, employment discrimination (EEOC), the Family and Medical Leave Act (FMLA), unfair labor practices, collective bargaining, and labor arbitration. Grate has successfully defended clients in both bench and jury trials, and administrative proceedings. He is licensed to practice in all state and federal courts in Michigan and Indiana and is admitted to the Sixth and Seventh Circuit of the United States Court of Appeals, as well as the United States Supreme Court.

Grate earned his B.S., summa cum laude, from Harding University, and his J.D., summa cum laude, from the Indiana School of Law.

Motz is an associate in the Birmingham office of Clark Hill PLC. He principally focuses his practice in the areas of education, construction and real estate law, assisting public and private sector employers in a wide variety of transactional matters.

Motz earned his A.B. from the University of Michigan and his J.D. from the University of Detroit Mercy Law School.
