Kaye Scholer Represents Jarden Corporation in Acquisition of Pure Fishing, Inc.
Kaye Scholer LLP represented Jarden Corporation, a leading provider of niche consumer products used in and around the home, in its acquisition of Pure Fishing, Inc., a global fishing consumer products company with operations in more than 19 countries. The purchase price included $300 million in cash, a $100 million note, warrants for Jarden common stock and additional contingent consideration.

The Kaye Scholer team was led by Gary Silverman, Russell Pallesen, Thomas Horenkamp, Amanda Ferriso and Evelyn Tollinche.

Jay Mayesh Cited as Best Lawyer to Call in Product Liability Crisis
Jay P. Mayesh, Co-Chair of the Product Liability group, was cited in the April 2007 issue of Inside Counsel as one of four lawyers in the country to call when your company faces a product liability crisis. Inside Counsel polled corporate lawyers and legal consultants nationally to identify the best attorneys to call in a corporate crisis and selected those lawyers who stood out for their demonstrated skill and experience. The results were featured in the cover story titled, "Crisis Rolodex — The Best Lawyers to Call in a Worst-Case Scenario." Mr. Mayesh is nationally ranked for product liability and universally recognized for his trial skills by clients and leading legal publications.

Jones Day Advises Rodamco on its Merger with Unibail
"Jones Day has advised Rodamco Europe, the leading European listed real property company, specialized in commercial real property investment and management in Europe, in connection with its merger with Unibail, the French leader in commercial real property.

The merger between Rodamco Europe and Unibail announced today is expected to create the European leader in commercial real property with real property assets representing a total value of 21.7 billion euros and net rental revenues of 974 million euros. The new entity will constitute a unique platform in Europe managing an unequaled portfolio of quality commercial assets.

The market capitalization of the new company, for which Guillaume Poitrinal, Unibail's current CEO, shall become the CEO, should be valued at 21 billion euros. The head office will be in Paris.

The merger will be implemented though an exchange offer launched by Unibail providing for the allocation of 0.530 Unibail ordinary shares per Rodamco ordinary share. The offer should be closed at the beginning of June 2007.

Jones Day was particularly involved in the tax aspects of this transaction which has been structured with a view to allowing Rodamco Europe and Unibail to maintain their current tax status as FBI in the Netherlands and as SIIC in France.

In connection to this transaction, Rodamco Europe was advised by:

- Jones Day: Vincent Agulhon and Nathalie Sénéchault (Tax) and Gaël Saint Olive (M&A), of the Paris office; and
- Loyens & Loeff: Marc Klerks and Hessel van der Kolk for all tax aspects in the Netherlands.

Goldman Sachs International and UBS Investment Bank acted as Rodamco's financial advisers, while Clifford Chance LLP acted as legal counsel."

Jenner & Block Bolsters Firm’s Antitrust, Complex Litigation Practices as Freeman, Freeman & Salzman Lawyers Join Firm
"Jenner & Block significantly expanded its antitrust and complex litigation capabilities today with the addition of six attorneys who recently practiced as Freeman, Freeman & Salzman, a prominent antitrust and complex litigation boutique led by Lee A. Freeman.

Lee Freeman, highly regarded as one of the nation’s foremost antitrust litigators, and his partners have developed longstanding relationships with numerous national and international companies, including NCR Corporation, The Coca-Cola Company, Anheuser-Busch, Kraft Foods, Central Vermont Public Service Corp., and Wabash Valley Power Association. Mr. Freeman has also served as a Special Assistant Attorney General for ten states in numerous antitrust suits.

In addition to Mr. Freeman, joining Jenner & Block as Partners are John F. Kinney and James T. Malysiak. Richard P. Campbell joins the Firm as Of Counsel, and Joseph P. Adamczyk and Joseph J. Bial join as Associates.

Among the many accomplishments of the group are its successful representation of major corporations in suits to recover damages against foreign cartels for fixing the prices of vitamins and sorbates purchased in the United States and abroad. The firm also defended Forest Laboratories in the nationwide class action case In re Brand Name Prescription Drugs Antitrust Litigation, which alleged a conspiracy among pharmaceutical companies not to give retail druggists the same discounts offered to hospitals and managed care entities. While most of the defendants settled before trial for $850 million, Forest Laboratories was granted a directed verdict after 10 weeks of jury trial and awarded sanctions of over $2 million against the lead class action counsel for misrepresenting evidence in response to Forest Laboratories’ summary judgment motion. In the field of public utility regulation, the firm recently convinced the First Circuit that it was unconstitutional for the State of New Hampshire to seek to impose its Electric Utility Restructuring Act against Central Vermont Public Service Co.

Currently the group is involved in the prosecution of a complex antitrust action on behalf of Omnicare, Inc. against UnitedHealth Group, Inc., which is pending in the Northern District of Illinois.

Jeffrey J. Rosen Named A Dealmaker Of The Year By The American Lawyer
"Debevoise & Plimpton LLP partner Jeffrey J. Rosen has been named a Dealmaker of the Year by The American Lawyer magazine for his role in advising International Paper on the $6.6 billion sale of 5.7 million acres of U.S. timberland, the largest private land deal in United States history. This is the second time for Mr. Rosen, who was recognized in 2004 for his representation of General Electric and NBC in their $14 billion acquisition of Vivendi Universal Entertainment.

The American Lawyer’s Dealmakers of the Year, featuring the year’s top transactional lawyers, appears in the April 2007 issue. Describing the transaction as ""a complex amalgamation,"" The American Lawyer noted that Mr. Rosen’s ""…team was able to hash out purchase agreements with multiple parties, negotiate fiber supply agreements for each deal, and manage the competition among nearly 20 serious bidders in the auction for the company’s forestland.""

Chadbourne Wins Trademark Lawsuit Involving Gloria Vanderbilt and "GLO" Brands
"Chadbourne & Parke LLP has won a trademark dispute on behalf of Netherby Ltd., the owner of the worldwide rights to the Gloria Vanderbilt trademarks.

A New York federal district court has ruled that the GLO trademarks -- a junior line marketed by Jones Apparel Group which includes ""GLO Jeans"" and ""GLO Girl"" -- is ""associated with"" the Gloria Vanderbilt brand for the purposes of the parties' royalty agreement. Jones Apparel acquired both brands in 2002.

In 1988, Netherby sold to Jones' predecessor the rights to the Gloria Vanderbilt trademarks in five countries, the United States, Canada, Brazil, New Zealand and Australia. In 2004, Netherby sued Jones Apparel and its subsidiary, Jones Investment, alleging breach of the 1988 agreement which required Jones to make royalty payments to Netherby based on sales of goods bearing the Gloria Vanderbilt mark and any other mark ""associated with Gloria Vanderbilt.""

Netherby also alleged that Jones was precluded from selling GLO products outside of the five countries covered by the 1988 Agreement. In January 2001, Jones' predecessor had launched the GLO brand which is targeted to women 17 to 21 years old.

Following a four-day trial, in an April 5, 2007 opinion U.S. District Judge Gerard E. Lynch ruled that GLO was associated with Gloria Vanderbilt and, thus, that GLO was subject to the 1988 Agreement. The court ruled that Jones was obligated to pay royalties to Netherby on GLO sales. The court further found implicit in this ruling that Jones was precluded from selling GLO products outside the five countries.

In finding that the GLO brand is associated with Gloria Vanderbilt, the court looked to a number of factors, including the marketing for GLO which linked the two brands, and references in trade and mainstream press to the GLO brand as the Gloria Vanderbilt ""junior line."" The court rejected Jones' argument that any past association between GLO and Gloria Vanderbilt was to ""Gloria Vanderbilt the company,"" and not Gloria Vanderbilt the person.

The court also found that Jones had breached its obligation to provide Netherby with samples of its Gloria Vanderbilt lines and directed Jones to perform those obligations in the future.

Chadbourne litigation partner Thomas J. Hall and associate JaeYoun Kim represented Netherby in this case."
