Bullivant bolsters real estate practice with addition of Cofano
Bullivant Houser Bailey PC, a leading West Coast law firm, announced today that it has added Russell G. Cofano as an Of Counsel attorney in its Seattle office. Cofano will practice in the firm’s Real Estate group continuing his representation of buyers, sellers, landlords, tenants, developers, borrowers and brokers in a variety of real estate transactions throughout the Pacific Northwest.

“We are thrilled to have Russ on board,” said Troy Greenfield, Managing Partner of Bullivant’s Seattle office. “Russ is respected within the Pacific Northwest real estate community and his experience will add to our depth and breadth in real estate and land use.”

A graduate of the University of Washington (B.A. 1983 and J.D. 1987), Cofano’s previous experience includes acting as long time counsel for the Washington Association of Realtors and as underwriting counsel for LandAmerica Commercial Services.

Davis Polk Advises Comcast on Its Acquisition of Fandango
Davis Polk & Wardwell is advising Comcast Corporation on its acquisition of Fandango. Comcast is the nation’s leading provider of cable, entertainment and communications products and services. Fandango is one of the web’s top movie and entertainment destinations. The deal is expected to close in the second quarter of 2007. The financial terms of the transaction were not disclosed.

The Davis Polk corporate team includes partner William H. Aaronson and associate James E. Elworth of the New York office and associates Beth Hooton Ruiz and Lee B. Shepard of the Menlo Park office. Partners Rachel D. Kleinberg of the Menlo Park office and Avishai Shachar of the New York office are providing tax advice. Partner Kyoko Takahashi Lin of the New York office is providing employment advice. Partner Steven S. Weiner of the Menlo Park office and associates Frank J. Azzopardi and Matthew J. Bacal of the New York office are providing intellectual property advice. Partner Arthur J. Burke of the Menlo Park office and associate Stephen M. Robinson & Cole LandLaw attorneys Brian Blaesser and Timothy C. Twardowski coauthored "Retail Space for Lease? Chain Stores Need Not Apply - Part 2." This article was published in the January 2007 issue of The International Council of Shopping Centers' Retail Law Strategist publication. The article discusses various ways in which localities regulate formula businesses, examines the rationales espoused by decision makers for doing so, and highlights potential legal issues raised by formula business ordinances in general.

FDA Alumni Honor Covington’s Peter Barton Hutt
The Food and Drug Administration Alumni Association (FDAAA) has honored Covington’s Peter Barton Hutt with the Harvey W. Wiley Award. The award presentation took place today at the FDAAA annual meeting and was preceded by a lecture by Mr. Hutt. The Wiley award is presented annually to an individual who has made a significant lifetime contribution to the mission of the FDA.

The award is named in honor of Dr. Harvey W. Wiley, the renowned physician-chemist whose leadership led to the passage of the Pure Food and Drug Act of 1906. Past winners include Donald Kennedy, former FDA Commissioner and President of Stanford, Abbey Meyers, founder and CEO of the National Organization for Rare Disorders, and Paul Rogers, former chairman of the U.S. House of Representatives Subcommittee on Health and the Environment.

Mr. Hutt practices in Covington’s Washington, DC office, specializing in food and drug law. He began his law practice with the firm in 1960 and, except for four years as Chief Counsel for the FDA, has continued ever since as a longtime partner and now senior counsel. Since 1994, Mr. Hutt has taught at Harvard Law School, and he is the co-author of the leading food and drug law casebook used in law schools throughout the country.

Mr. Hutt has won numerous accolades and has garnered recognition as a leader in his field. In April 2005, Mr. Hutt was presented the FDA Distinguished Alumni Award by FDA Commissioner Crawford. In May 2005, he received the Lifetime Achievement Award for research advocacy by the Foundation for Biomedical Research. Business Week referred to Mr. Hutt in June 2003 as the "unofficial dean of Washington food and drug lawyers." In naming Mr. Hutt in September 2005 as one of the eleven top food and drug lawyers, Legal Times described him as "the dean of the food-and-drug bar." He was named by The Washingtonian magazine as one of Washington's 50 best lawyers and as one of Washington's 100 most influential people; by The National Law Journal as one the 40 best health care lawyers in the United States; and by Global Counsel as the best FDA regulatory specialist in Washington, DC.

Philadelphia Attorney William Schorling to Serve as Panelist in DePaul Business and Commercial Law Journal Symposium in Chicago
Buchanan Ingersoll & Rooney PC shareholder Bill Schorling will be a panelist at the fifth annual DePaul Business and Commercial Law Journal Symposium, "Corporate Governance: The Ins and Outs for Ds and Os," on April 19, 2007, in Chicago. Schorling's panel, "Here and Now: Trends in the D&O World," will discuss current legal issues facing directors and officers in the corporate world today.

Schorling serves as co-chair of Buchanan's Financial Restructuring and Insolvency Section. He has represented debtors, indenture trustees, creditors' committees and secured and unsecured creditors in bankruptcy proceedings. His experience includes representation of a number of Fortune 500 companies and money center and regional financial institutions. A fellow of the American College of Bankruptcy, Schorling was selected by clients and peers in 2006 for inclusion among America's Leading Business Lawyers by Chambers USA, Philadelphia Magazine's Pennsylvania Super Lawyers® and The Best Lawyers in America.

Baker & McKenzie LLP Represented Morgan Stanley on Equity Investment in MGM International
Baker & McKenzie LLP successfully represented Morgan Stanley’s Global Commodities Group on a minority equity investment in MGM International ("MGM"). Morgan Stanley (NYSE: MS) has announced that it plans to invest in approximately $3 billion of carbon/emissions credits, projects and other initiatives related to greenhouse gas (GHG) emissions reduction over the next five years.

The transaction between Morgan Stanley’s Global Commodities Group and MGM provides an opportunity to jointly expand their existing businesses in greenhouse gas (GHG) emissions reduction, through Clean Development Mechanism (CDM) and Joint Implementation (JI) projects. Morgan Stanley’s investment terms were not disclosed.

The Baker & McKenzie team was led by Corporate Partner Roslyn Tom in New York and Climate Change Partner Christopher Norton in London with assistance from Tax Partner Charles Wagner, Executive Compensation Partner Richard Reilly and associate Oreste Cipolla in New York and associate Anna McCann in London.

Morgan Stanley, through its Global Commodities Group, is a major trader in the energy, emission reductions and carbon credits, and metals markets globally. Morgan Stanley’s Global Commodities Group is also an active investor in private equity and commodities related assets. MGM International is a global leader in the development of projects that contribute towards climate change mitigation.

Petras Presents on Clinton HIV/AIDS Initiative
Cleveland partner Steve Petras was the guest speaker for the University of Akron's College of Business Administration "Social Responsibility Speaker Series."

Petras has represented the William Jefferson Clinton Presidential Foundation's HIV/AIDS Initiative (CHAI) on a pro bono basis since 2003. His presentation, "Participating in the Clinton Foundation's Global Fight Against HIV/AIDS," included information on the number of children and adults afflicted worldwide, use of antiretroviral drugs (ARV) in treatment—which tripled between 2004 and June 2006—and the program CHAI has created to assist in "developing operational business plans for program countries to implement large-scale, integrated, care, treatment and prevention programs.
