T&K's Real Estate Practice Continues to Grow with the Addition of Seven Attorneys
Thompson & Knight is pleased to announce the expansion of its Real Estate and Banking Practice Group with the addition of Jay Gibson, Laura L. McClellan, Misty Willcox, Sean D. Hawkins, and Meg Squiers in the Firm's Dallas office and John B. Wood and Bohdan (Bud) S. Kosovych in the Firm's New York office. These laterals strengthen an already thriving real estate practice of over 50 attorneys spread among four domestic and three international offices. The Firm's real estate attorneys routinely counsel clients in a wide variety of real estate and banking transactions.

Gibson has over twenty years of experience advising clients in a wide variety of matters. He focuses his practice on real estate and business transactions. He represents developers in the acquisition, development, and disposition of undeveloped acreage, including review and documentation of senior and mezzanine financing and equity capital, as well as owners of shopping centers, industrial buildings, and mixed-use properties. He also provides counsel to companies and investment groups involved in healthcare, energy, technology, and manufacturing endeavors. Gibson received a J.D. from Texas Tech University School of Law in 1985 and a B.B.A. in Accounting, cum laude, from Texas Tech University in 1982.

McClellan began her legal career at Thompson & Knight in 1998 and has nearly ten years of real estate experience representing buyers and sellers in acquisitions, sale, and development of real estate, including retail, office, senior assisted living, and multi-family projects throughout the country. She also represents landlords and tenants in commercial leasing transactions. Ms. McClellan received a J.D., cum laude, from Cornell Law School in 1998 and Bachelor of Arts degree in Political Science, summa cum laude, from University of Nebraska at Omaha in 1995.

Willcox assists clients with acquisitions and dispositions and drafting and negotiating commercial leases. She received a J.D., cum laude, from Texas Tech University School of Law in 2004 and a B.A. in Biological Sciences from Texas Tech University in 1999.

Hawkins' experience includes the representation of institutional investors in joint venture real estate transactions, developers in acquisitions and dispositions of real estate, and financial institutions in real estate financing. He received a J.D. from the University of Pennsylvania Law School in 2005 and a B.S. in Psychology from Brigham Young University in 2001.

Squiers also began her legal career at Thompson & Knight in 1986, and the Firm is excited to have her return. She assists clients with real estate and real estate finance matters. She received her J.D., with honors, from the University of Texas School of Law in 1986 and a B.B.A. in Finance, with honors, from the University of Texas in 1983.

Wood focuses his practice on commercial real estate. He advises public and private companies on real estate acquisitions, facilities management, construction and development, brokerage law, commercial leasing, commercial property management, and litigation. Mr. Wood has represented owners in the design and negotiation of commercial leases covering in excess of 50 million square feet of retail, office, and mixed-use space projects for thirty years. Mr. Wood is a member of the American Arbitration Association Commercial Neutral Panel. He received a J.D. from Washburn University in 1977, an M.B.A. in Accounting and Finance from the University of Kansas in 1975, a B.B.A. in Accounting and Finance from Washburn University in 1973, and became a Certified Public Accountant in Kansas in 1980.

Kosovych focuses his practice on commercial real estate matters nationwide, including complex property sales and purchases the real estate aspects of corporate acquisitions and divestitures, and construction matters. His experience, during twenty-five years of practice, includes ground leasing, retail, office, and warehouse leasing and subleasing transactions. He received a J.D. from Fordham University School of Law in 1981 and a B.A. from Richmond College, CUNY in 1970.

Thacher Proffitt Represents Clayton Holding
Thacher Proffitt was mentioned in an article in The Connecticut Law Tribune discussing the results of their survey of 41 New England-based companies, and subsequent interviews with their general counsel regarding the issues important to them when choosing external legal representation. Simpson Thacher Represents Rinker Group Limited in Unsolicited Bid by CEMEX, S.A.B. de C.V. Valued at $15.3 Billion
The firm is representing Rinker Group Limited, the Australian building materials company, in connection with an unsolicited bid for 100% for its outstanding shares (including American Depositary Shares) by CEMEX, S.A.B. de C.V., the Mexican cement producer. On April 9, 2007, Rinker and CEMEX agreed that the board of directors of Rinker will unanimously recommend CEMEX’s bid after CEMEX agreed to increase its offer price from US$13.00 to US$15.85 per share.

CEMEX’s offer will be, if successfully completed, Australia’s largest cash transaction and the largest cross-border acquisition by a Mexican company, and will create the world’s largest supplier of construction materials.

Proskauer Rose Attorneys Elected to New York State Bar Association Executive Committee
Proskauer Rose LLP, an international law firm with over 700 lawyers worldwide, is proud to announce that two of its attorneys have been elected to the New York State Bar Association (NYSBA) Executive Committee. Claire P. Gutekunst, a partner in Proskauer's Litigation and Dispute Resolution Department, was elected a Vice President, and Peter J.W. Sherwin, partner and chair of the firm's International Arbitration Practice, was reelected an At-Large Member of the Executive Committee. Both will assume their roles June 1.

Ms. Gutekunst and Mr. Sherwin have a long history of involvement with NYSBA and have been members of the organization's Executive Committee in addition to serving as members and leaders of a number of committees. Ms. Gutekunst is currently chair of NYSBA's Membership Committee and has served as chair of the organization's Committee on Women in the Law and the Strategic Planning Advisory Committee. Mr. Sherwin has served as chair of NYSBA's Special Committee on Collateral Consequences of Criminal Proceedings and Civil Rights Committee.

At Proskauer, Ms. Gutekunst represents corporations and individuals in complex commercial litigation and dispute resolution in a broad range of substantive areas, from breach of contract and fraud to class actions and bankruptcy disputes. In addition to her involvement with NYSBA, she is a member of the Executive Committee of the International Institute for Conflict Prevention and Resolution, a member of the organization's National Task Force on Diversity in Alternative Dispute Resolution (ADR), and a member of the ADR Advisory Group for the Commercial Division of the New York State Supreme Court. She also heads the YWCA-NYC Academy of Women Leaders and recently received the Mary Rousmaniere Gordon Award from the YWCA of New York City for her service to the organization.

Mr. Sherwin represents corporate entities and individuals in a variety of substantive areas, with a concentration on cross-border disputes regarding high-stakes private investments or sophisticated financial products. He also serves as a member of Mayor Michael Bloomberg's Advisory Committee on the Judiciary and on the Board of Directors of Citizens Union, New York City's preeminent good government organization.

DLA Piper builds up Islamic finance practice
DLA Piper today announced that it has recruited three highly experienced Islamic finance lawyers to join its Islamic finance practice in Dubai. The lawyers, Abdulaziz Al Bosaily, Adil Hussain and Saqib Awan will work with Oliver Agha, who joined DLA Piper in February as Global Head of Islamic Finance. The new appointments reinforce DLA Piper's commitment to develop a leading Islamic finance practice.

Abdulaziz Al Bosaily is a Saudi-qualified lawyer, who previously worked for Al-Jadaan Law Firm, the Clifford Chance affiliate office in the Kingdom of Saudi Arabia. He has extensive experience advising multinational and Saudi corporations in relation to M&As, foreign direct investment, incorporations, privatisations, compliance and regulatory regimes, and has worked on some of the largest Islamic financing deals in the Kingdom of Saudi Arabia. Abdulaziz's experience includes advising on the US$8.5 billion petrochemical project at Rabigh, the largest project financing in Saudi Arabia to date, and the Saudi Basic Industries Corporation's (SABIC) project, the first-ever sukuk approved by the Capital Market in the Kingdom of Saudi Arabia, for the aggregate issue of SR3 billion (US$800 million). Abdulaziz officially joined in March 2007 as a legal director.

Adil Hussain is a UK-qualified lawyer who formerly headed the Islamic finance group at Norton Rose in Bahrain before being recruited by DLA Piper. Adil is widely recognised as a rising star and has advised many of the leading banks in Bahrain including Calyon, Gulf International Bank BSC, Bahrain Islamic Bank BSC, Al Amin Bank BSC and Kuwait Finance House. Adil advises on a wide range of Shari'ah legal structures including murabaha, ijara mawsufah fi al-dhimmah (Islamic forward leasing), mudaraba, ijarah and syndicated musharaka muntanakisa financing. He recently advised a bank syndicate on the first-ever multi-million dollar cross-border syndicated musharaka muntanakisa securitisation facility, to enable a Saudi corporate to obtain off-balance-sheet Islamic financing to further expand its car-financing business. Adil will join DLA Piper in June 2007 as a senior legal consultant.

Saqib Awan, a Pakistan-qualified lawyer, will join the DLA Piper's Islamic Finance Group from the Alliance Law Firm in the Kingdom of Saudi Arabia. Saqib has advised on the implementation of a wide range of investment structures including Shari'ah compliant products for banks and corporations and multi-million dollar Islamic tranches. Saqib received a bachelor of law degree from the International Islamic University in Pakistan in Shari'ah and Common Law. He will officially join DLA Piper on 1 May 2007 as a legal consultant.

Commenting on the new appointments Oliver Agha, Global Head of Islamic Finance, said: "I am very pleased that these well-known Islamic finance lawyers have chosen to join DLA Piper, it is an honour for them to be part of our growing team. The Islamic Finance Group at DLA Piper already has a number of lawyers that are working on Islamic finance matters and the new arrivals will significantly broaden our experience base in providing responsive and commercially viable advice to our clients."

David Church, DLA Piper's Regional Managing Partner for the Middle East, said: "Each of these individuals were highly sought after and I am delighted they turned down other opportunities and approached us in order to join Oliver's team. We are now attracting some of the best and brightest Islamic financiers on the market; lawyers that have worked on structures that are subject to stricter scrutiny from the Shari'ah Boards. Under Oliver's leadership we are building a global Islamic Finance Group which will be led from Dubai and supported by our offices in Europe, Asia and the US.

Miller Canfield Attorney Moderates ABA Section of Litigation Panel
Todd A. Holleman, a principal in the Detroit office of the law firm of Miller Canfield, recently moderated a panel discussion hosted by the American Bar Association Section of Litigation on “Punitive Damages after Philip Morris USA v. Williams.” The panel discussed the case that has been called one of the most important Supreme Court decisions of this term and included two of the attorneys who argued it before the Supreme Court.

In Philip Morris USA v. Williams, the Supreme Court vacated a $79.5 million punitive damage award and held that it violated due process for a jury to award punitive damages in part because of harm to individuals who were not parties to the suit.

At Miller Canfield, Holleman focuses his practice on complex commercial litigation matters. He specializes in appellate practice and securities litigation and arbitration, commercial contract disputes, construction litigation and equipment leasing litigation.

He is a member of the American Bar Association, Federal Bar Association, State Bar of Michigan, State Bar of Ohio and the Detroit Metropolitan Bar Association. He is active on the Appellate Practice Committee of the ABA Section of Litigation.

He is a volunteer host for the Selfridge Air National Guard Museum and is active in various ministries at Brightmoor Christian Church in Novi, Michigan.

He received his law degree, summa cum laude, from Wayne State University Law School, and his undergraduate degree, magna cum laude in Marketing, from Grand Valley State University.

Miller Canfield was established in Detroit in 1852 and employs more than 800 in offices in Michigan, Massachusetts, Florida, New York, Canada and Poland.

David E. Rogers Named Co-Head of McDermott's Washington, D.C. Office
David E. Rogers has been named co-partner-in-charge of McDermott Will & Emery’s Washington, D.C. office and will serve alongside Bobby R. Burchfield, who has served as partner-in-charge with Timothy J. Waters since June of 2004 when he joined the Firm. Mr. Rogers succeeds Mr. Waters, who has served as partner-in-charge since 1997. Mr. Waters will now serve as co-head of the Firm's 115-lawyer Regulation and Government Affairs Department with antitrust partner Raymond A. Jacobsen.

"David, who has been a leader in the Firm's recruiting efforts, is a great addition to our leadership, and I look forward to working with David on the many endeavors that lie ahead," said Mr. Burchfield. "I must also extend my appreciation, as well as the Firm's gratitude for Tim's service to our office. He has been an instrumental leader, a thoughtful mentor and is a true friend to all of us. Mr. Rogers, a member of the Firm's Employee Benefits Department, focuses his practice on employee benefits matters, including the adoption and qualification of pension and profit sharing plans, tax-sheltered annuities, employee welfare benefit plans, COBRA, cafeteria plans, the provision of such benefits in bankruptcy and non-qualified deferred compensation issues. Mr. Rogers served as an adjunct professor at Georgetown University Law Center teaching the graduate seminar class on ERISA. In addition, Mr. Rogers was specifically named in BTI Consulting Group's 2001, 2002 and 2004 Law Firm Client Service All-Star Team surveys of Fortune 1000 clients, in recognition of his superior level of client service. He earned his J.D. from American University-Washington College of Law, his LL.M. from Georgetown University Law Center and his B.S. from Florida Southern College.
