Dechert LLP Advises The Crown Estate on New £680 Million Joint Venture Limited Partnership with Hercules Unit Trust
nternational law firm Dechert LLP represented The Crown Estate in relation to a new £680 million limited partnership, The Gibraltar Limited Partnership, which it has established with The Hercules Unit Trust ("HUT"), a £3.4 billion Jersey-based property unit trust. The 50:50 joint venture incorporates three properties: HUT's 550,000 sq ft Fort Kinnaird Shopping Park in Edinburgh and The Crown Estate's Gallagher Retail Park, Cheltenham and The Shires Retail Park, Leamington Spa at 246,000 sq ft and 140,000 sq ft respectively. British Land, property advisor to HUT as well as being a 36.6 per cent holder in the trust, will also act as property adviser to the new limited partnership.

The transaction gives The Crown Estate a significant interest in one of the UK's premier out-of-town retail locations and to HUT's specialist management team. HUT's unitholders gain exposure to two new retail parks that, together with Fort Kinnaird, offer a number of management opportunities. HUT is currently in the final stages of completing a major redevelopment programme at Fort Kinnaird which will include a new 60,000 sq ft Marks & Spencer store.

The Dechert LLP team advising The Crown Estate was headed by London Managing Partner Steven Fogel and included Mark Stapleton, James Croock and Patrick Gloyens, assisted by associates David Gervais, Andrew Harrow, and Andrew Wilson.

Said Steven Fogel: "We are delighted to have worked with The Crown Estate on a complicated and significant transaction which breaks new ground for them and demonstrates the way their whole approach to investment has changed in recent times."

Bill Pentelovitch Inducted As Fellow of the International Academy of Trial Lawyers
Maslon partner Bill Pentelovitch was inducted as a Fellow of the International Academy of Trial Lawyers in Chicago on April 14, 2007.

Membership in the Academy is limited to 500 Fellows from the United States plus 100 Fellows from outside the United States; there are currently Academy members in over 30 countries throughout the world. Members are engaged in civil and criminal trial practice from both the plaintiff's and the defendant's side of the counsel table. According to the Academy's website, "the members of the IATL represent the most exceptional attorneys in the world."

Pentelovitch has practiced law at Maslon since graduating from the University of Chicago Law School in 1974. He practices exclusively in the area of business litigation, and over the course of the past 33 years has tried hundreds of cases spanning subject areas such as antitrust, securities, racketeering, fraud, contracts, employment discrimination, banking, and intellectual property. During the past 20 years a majority of his cases have been concentrated in two areas, intellectual property disputes and disputes involving owners of closely-held business enterprises. The intellectual property cases have related to disputes involving trade secrets, intellectual property licenses, confidentiality agreements, and noncompetition agreements. With respect to disputes involving the owners of closely-held businesses, Pentelovitch is recognized as one of the leading experts in the field in Minnesota. In a seminal case more than 20 years ago, he won the first major shareholder oppression case under the revised Minnesota Business Corporation Act, recovering over $33 million for his clients; more recently, in 2005 a court ordered that another Pentelovitch client be paid nearly $300 million as the result of shareholder oppression.

Since January 2005, Pentelovitch has led teams of Maslon lawyers which have tried seven complex cases to verdict or final decision, winning all of them. In four of the cases Maslon represented the plaintiffs; in two of those cases, he obtained aggregate damages totaling more than $7 million, and in the other two he obtained injunctions. In the other three cases Maslon represented defendants in intellectual property disputes in which plaintiffs collectively sought damages aggregating more than $400 million; Pentelovitch's clients were vindicated in all three cases and the plaintiffs recovered nothing.

In addition to being a Fellow of the Academy, Pentelovitch is certified as a Civil Trial Specialist by the National Board of Trial Advocacy and by the Civil Trial Certification Council of the Minnesota State Bar Association. He has been consistently listed for more than a decade in Best Lawyers in America and as a Minnesota Super Lawyer, Minnesota Top 100 Lawyer, and Minnesota Top 40 Business Litigator. He has also been identified by Chambers & Partners as one of the top seven business trial lawyers in Minnesota each year since 2004.

Davis Brown Receives the "Above And Beyond" Award
Davis Brown Law Firm has been awarded the “Above and Beyond” award by the Secretary of Defense in association with the Employee Support For Guard and Reserve program. The National Committee for Employer Support of the Guard and Reserve (ESGR), the lead Department of Defense agency for gaining employer support, is charged with planning, coordinating and executing this program.
ESGR awards program include the Support Freedom Award, Patriot Award, Above and Beyond Award, and the Pro Patria Award. A thorough selection process by the ESGR committee took into consideration specific support provided by Davis Brown, including pay policies, benefits and leave policies, supervisor training, ESGR advocacy, service member recognition, family support, deployed member support, hiring preferences, and general military support. The Firm was a finalist for the National Small Business "Support Freedom Award" in 2006, the highest award offered by the ESGR program.

The Firm’s outreach to its clients in training, policy implementation and education regarding employer obligations towards military personnel were also a consideration.

In the current national and international environment, civilian employers play a critical role in the defense of the nation by complying with existing employment laws protecting the rights of workers who serve in the Guard and Reserve.

Employment Attorney Jo Whitney stated, “As a firm we were honored to receive this award from the ESGR as this is an organization that works consistently to assist both employers and the military. Our goals as an employer and a law firm are similar to those of the ESGR - we want to not just comply with the law, but to provide support and assistance - to our staff and to our clients. We work with clients to educate managers and co-employees regarding the laws on military service and to develop strategies to minimize workplace disruptions when an employee is called to duty. Captain William Kelly - shareholder and JAG corp member, is an integral part of those efforts as he brings both a legal and personal perspective to military service and employment issues.
