London Office Advises BNP Paribas on New CDO
The international law firm of McDermott Will & Emery advised BNP Paribas in connection with its recent €558.6 million CDO of leveraged loans. The deal introduced to the CDO market the use of a variable hedging option strategy to manage the risk arising from investment in a wide range of currencies.

The transaction was arranged by BNP Paribas with Pemba Credit Advisers, a subsidiary of Man Group Plc, the world’s largest hedge fund manager, acting as collateral manager to the CDO. The structure of the deal allowed for investment in a number of major currencies and across the entire spectrum of debt instruments used in the leveraged loan market.

The multi-disciplinary team was led by London structured finance partner Steven Black, assisted by New York corporate partner Michael Pettingill and London structured finance trainee Clare McRoberts. Tax advice was provided by London associate Stuart Sinclair and New York partner John Lutz and associate Sam Ehrenfeld.

Premier White-Collar Defense Lawyer to Join Washington, D.C. Office
The international law firm McDermott Will & Emery announced today that renowned white-collar defense attorney and trial lawyer Abbe D. Lowell is joining the Firm as a partner and will head the white-collar criminal defense practice in McDermott’s Washington, D.C. office.

Lowell is one of the premier white-collar defense lawyers in the United States and has successfully represented clients in investigations and trials all across the country. He is widely recognized as one of the top lawyers in America and has been named one of the "100 Most Influential Lawyers" in America by The National Law Journal, one of the top white-collar litigators by Best Lawyers in America, one of the "Top Ten White Collar Defense Attorneys" by Legal Times, as one of Washington's best attorneys numerous times by The Washingtonian magazine, one of the "most winning" trial attorneys by The National Law Journal, and "one of the people you have on your rolodex" by Roll Call, the newspaper covering Capitol Hill.

His clients have included dozens of high-profile public officials, CEOs and directors of publicly traded companies and financial institutions, Fortune 100 companies and government institutions. His clients, both current and previous, include Nevada Governor Jim Gibbons; former CEO of ImClone Sam Waksal; former CEO of Healthsouth Richard Scrushy; former D.C. lobbyist Jack Abramoff; Mississippi mayor Henry Espy; former Congressmen Bill Boner, Harold Ford, Austin Murphy, Joe McDade and Gary Condit; the actor Steven Seagal and lobbyists of the American Israel Policy Affairs Committee (AIPAC). In addition to his practice, Lowell will continue to teach criminal law and evidence as an adjunct professor at Georgetown Law Center and Columbia Law School, and he will continue to write on legal issues for national and legal periodicals.

Also joining McDermott will be Pamela Marple, who will be a partner in the Washington, D.C. office. Before private practice, Marple served as a trial attorney in the U.S. Department of Justice, as Minority Chief Counsel to the Senate Permanent Subcommittee on Investigations, and as Minority Deputy Chief Counsel during the Senate Governmental Affairs Committee's special investigation into campaign finance activities in 1996 and 1997. She is an experienced attorney with deep knowledge of internal investigations, white-collar cases, federal regulatory actions, civil litigation and congressional inquiries.

Kaye Scholer Represents Universal Hospital Services, Inc. in Sale to Bear Stearns Merchant Banking
Kaye Scholer is representing Universal Hospital Services, Inc. in its sale to Bear Stearns Merchant Banking, the private equity affiliate of The Bear Stearns Companies, Inc. Universal Hospital Services, Inc., the leading medical equipment outsourcing company in the country, is currently owned by the private equity firms J.W. Childs Associates, The Halifax Group and by UHS management. The transaction is valued at approximately $712 million and is expected to close in the second quarter of 2007. Previously, Kaye Scholer represented J.W. Childs and Halifax Capital Partners in the $300 million leveraged recapitalization of Universal Hospital Services, Inc.

The Kaye Scholer corporate team consisted of partner Stephen Koval, counsel Thomas Yadlon, and associates Monica Shulman and Jennifer Ahn. Other Kaye Scholer attorneys participating in the transaction were partners Laurie Abramowitz (tax), Arthur Woodard (employee benefits), and associate Connie Ericson (environmental).

Jones Day's Structured Finance Practice Continues Rapid Growth
"International law firm Jones Day today announced significant additions to the Structured Finance Practice of the Firm's Banking & Finance Practice. Increasing its capacity in collateralized debt obligations (CDOs), Jones Day recently added John White (formerly of Cadwalader Wickersham & Taft LLP) as ""of counsel"" in its Atlanta Office.

White focuses on commercial real estate CDOs, significantly complementing the Firm's extensive experience in cash, synthetic and hybrid CDOs. He is being joined in Atlanta by associate Bruce Luna, also formerly of Cadwalader.

Also joining Jones Day in the New York Office are Structured Finance associates Carey Gabay, formerly of Schulte Roth & Zabel, and Katherine Bushueff, formerly of Cadwalader. ""These exciting new hires will allow Jones Day to better meet the diversity of our clients' needs and match or exceed our competitors in size and breadth of practice,"" said structured finance partner Edward O'Connell, who himself joined Jones Day in September 2006.

Located strategically throughout Jones Day's offices, the Structured Finance Practice ""is not based out of a single location, but instead uses Jones Day's multi-office capabilities through a cohesive network,"" said O'Connell. Jones Day structured finance lawyers represent the full spectrum of participants in the structured finance markets."

Chadbourne & Parke Returns to Dubai a Natural Extention of the Firm's Energy and Cross-Border M&A Practices in Emerging Markets
"The international law firm of Chadbourne & Parke LLP announced today that it will return to the United Arab Emirates after an absence of 14 years and open an office in Dubai on May 1st. The office will be led by Jack Greenwald, a former Chadbourne partner who has practiced law in Dubai since 1986. Initially, Mr. Greenwald will oversee a legal staff of eight other lawyers and paralegals.

Bracewell's White Collar Leader to Speak at Texas General Counsel Forum
"Marc L. Mukasey, who is a leader of the white collar criminal and regulatory practice of Bracewell & Giuliani LLP, is scheduled to be a speaker at the Texas General Counsel Forum, which will take place at The Westin Galleria in Dallas, Texas on April 25.

Mr. Mukasey will be a panelist during the discussion of ""Privilege and the GC – Practical Advice and Best Practices on Internal Communications and Investigations."" The panel will address crucial factors that impact privilege in the corporate context, in light of the most recent pronouncements from the Department of Justice; in addition to best practices for protecting internal corporate communications.
