John T. Marshall Receives the Distinguished Ben F. Johnson Jr. Public Service Award
The Georgia State University College of Law honored attorney John T. Marshall, a 45-year member of Powell Goldstein LLP, with the Ben F. Johnson Jr. Public Service Award during an April 12 ceremony at The Commerce Club in downtown Atlanta .

The honor is presented annually to a Georgia lawyer whose life and career reflect the tradition of selfless public service that the College of Law 's founding dean, Ben F. Johnson Jr., exemplified during his career.

"We are particularly grateful for John's service to the Bar, and to the College of Law ," said Dean Steve Kaminshine. "John has not only been an exemplary lawyer and litigator, but he has also been a role model, mentor and teacher to countless lawyers and students. That is the heart of his public service."

Marshall serves as chairman of the College of Law 's Board of Visitors, helped launch the College of Law 's mentorship program for students and has taught litigation to Georgia State University law students as an adjunct professor.

Marshall is the former chair of the litigation department at Powell Goldstein, served as special counsel to the Ethics Committee of the U.S. House of Representatives, and has appeared in the role of Presidential Counsel on the public television series "The Advocates."

He has also been recognized by Atlanta Magazine as a 2007 Georgia Superlawyer and has received the following awards: American Inns of Court Professionalism Award for 11th Judicial Circuit; ALI - American Bar Association's Harrison Tweed Award (for teaching trial evidence); State Bar of Georgia's Distinguished Service Award; State Bar of Georgia's Tradition of Excellence Award (for service to bar and community); State Bar of Georgia's A. Gus Cleveland Award (for service to continuing legal education); Atlanta Bar Association's Charles E. Watkins, Jr. Award (for service to the Bar); Atlanta Bar Association's Leadership Award; Atlanta Bar Association's Professionalism Award; and Atlanta Volunteer Lawyer Foundation's Phil Heiner Award (for legal service to indigents).

Guest speakers during the award ceremony included Georgia State University Provost Ron Henry; Ben F. Johnson III, Alston & Bird; Randall L. Hughes, Powell Goldstein; William G. Scrantom Jr., Page Scrantom Sprouse Tucker & Ford; The Honorable Frank Hull, U. S. Court of Appeals, Eleventh Circuit; and Steven Gottlieb, Atlanta Legal Aid Society.

"John Marshall has given his time tirelessly to fellow lawyers and students," noted Judge Hull. "He has firm principles, but he also knows how to lead with a firm touch."

Davis Polk Advises Sallie Mae on Its Proposed Acquisition by an Investor Group
Davis Polk & Wardwell is advising SLM Corporation, commonly known as Sallie Mae, in connection with the proposed acquisition of Sallie Mae by an investor group led by J.C. Flowers & Co. Based in Virginia, Sallie Mae is the leading provider of saving- and paying-for-college programs in the United States.

According to the terms of the transaction, the investor group will acquire Sallie Mae for approximately $25 billion or $60.00 per share of common stock. When the transaction is complete, J.C. Flowers along with private-equity firm Friedman Fleischer & Lowe will invest $4.4 billion and own 50.2% and Bank of America and JPMorgan Chase each will invest $2.2 billion and each will own 24.9%. The transaction will require the approval of Sallie Mae's stockholders, is subject to required regulatory approvals and is expected to close in late 2007.

American International Group, Inc. Junior Subordinated Debenture Offering
Davis Polk & Wardwell advised Citigroup Global Markets Inc., Deutsche Bank Securities Inc. and J.P. Morgan Securities Inc. as joint structuring advisors, book-running managers and representatives of the several underwriters on a series of SEC-registered offerings by American International Group, Inc. (AIG) of its junior subordinated debentures in an aggregate principal amount of approximately $3.77 billion. The offerings consist of a $1 billion tranche, a £750 million tranche and a €1 billion tranche. These ‚hybrid? securities were structured as Moody’s Basket D securities, which provide the company with 75% equity credit.

Based in New York, New York, AIG is a leading international insurance organization with operations in more than 130 countries and jurisdictions. AIG companies serve commercial, institutional and individual customers through the most extensive worldwide property-casualty and life insurance networks of any insurer. In addition, AIG companies are leading providers of retirement services, financial services and asset management around the world.

The Travelers Companies, Inc. Junior Subordinated Debenture Offering
Davis Polk & Wardwell advised Citigroup Global Markets Inc. as sole structuring advisor, and Citigroup Global Markets Inc., J.P. Morgan Securities Inc. and Lehman Brothers Inc. as joint book-running managers and representatives of the several underwriters on an SEC-registered offering by The Travelers Companies, Inc. of $1 billion aggregate principal amount of its 6.25% fixed-to-floating rate junior subordinated debentures due 2067. These ‚hybrid? securities were structured as Moody's Basket D securities, which provide the company with 75% equity credit.

Based in St. Paul, Minnesota, The Travelers Companies, Inc. is a holding company principally engaged, through its subsidiaries, in providing a wide range of commercial and personal property and casualty insurance products and services to businesses, government units, associations and individuals.

The Davis Polk corporate team included partners John M. Brandow, Luigi L. De Ghenghi, Ethan T. James, Richard J. Sandler, counsel Courtenay U. C. Carlyle Crafton Joins Cozen O’Connor’s
C. Carlyle Crafton recently joined Cozen O’Connor’s Dallas office as an associate in the insurance department. Prior to joining the firm, Crafton was an associate with Burt Barr & Associates, L.L.P., in Dallas, Texas. Crafton, who practices in the insurance coverage claims/litigation group, has experience in insurance law, including bad faith, dram shop liability and premises liability, as well as commercial litigation, entertainment law and appellate matters. He has also been a business owner and worked as a consultant in marketing and promotional capacities. Crafton is admitted to practice in Texas and before the U.S. District Courts for the Northern, Eastern and Western Districts of Texas. He is a member of the American Bar Association and the Dallas Bar Association, where he has served as secretary (2005) and treasurer (2006) of the entertainment law section.

Crafton is a graduate of the University of Texas at Arlington (B.A., 1985), Texas Tech University (M.A., 1992) and Southern Methodist University Dedman School of Law (J.D., 2002), where he was a semifinalist in the Jessup International Law Moot Court Competition, president of the SMU Texas Trial Lawyers Association and a member of several Moot Court Board committees. In addition, he served as an intern with the Fifth District Court of Appeals for the State of Texas.

Covington Advises Greenhill in Sallie Mae Deal
Sallie Mae announced today its $25 billion sale to private equity firms, JC Flowers and Friedman, Fleischer & Lowe who combined for the acquisition with JPMorgan Chase and Bank of America. Covington & Burling LLP represented Greenhill & Co., financial advisor to the Special Committee of Sallie Mae, in the deal.

The Covington team included corporate partners Jack Bodner and Scott Smith and corporate associates Don Saelinger and Marcus Weiss of the firm’s New York office.

Carlton Fields Shareholder, Edgel C. Lester, Inducted into the American College of Commercial Finance Lawyers
Carlton Fields is pleased to announce that Edgel C. Lester was recently inducted into the American College of Commercial Finance Lawyers (ACCFL).

Lester is the Chair of the firm’s Real Estate & Finance Practice Group. He practices in the areas of real estate and commercial law. Lester regularly represents clients in loan transactions, workouts, settlement agreements, sales and leases of real and personal property, and transfers of equity interests. He serves as a member of the Carlton Fields’ Board of Directors.
