Barry L. Haith Joins Lathrop & Gage's Growing Clayton Office
Barry L. Haith has joined the Clayton office of the Lathrop & Gage L.C. as a member in the business disputes, construction litigation and tort litigation practice areas. He will focus his practice on civil litigation, including commercial/business litigation, real estate and construction litigation, tort litigation, and estate and probate litigation.

Haith is the tenth attorney in firm's newest office, which opened its doors in March. He joins seven colleagues from his previous firm, Blumenfeld Kaplan & Sandweiss P.C. In addition, Lathrop & Gage attorneys William H. Joyce and Randall F. Scherck have relocated from the firm's existing downtown St. Louis office to Clayton. Their moves allow them to work closely with the new attorneys in both litigation and transactional legal matters, and to better serve clients in St. Louis County with a Clayton location.

Haith is a contributing attorney for the Volunteer Lawyer’s Association and BAMSL (Bar Association of Metropolitan St. Louis), a member of the Board of Directors of JESS (Jobs and Employment Support Services) and a member of the Board of Directors of the Down Syndrome Association of Greater St. Louis.

Haith earned his bachelor’s degree from Truman State University in 1992, and his juris doctorate from Washington University in 1999. He is a member of the American Bar Association, (Litigation and Tort/Personal Injury Sections), The Missouri Bar, Bar Association of Metropolitan St. Louis, Association of Trial Lawyers of America and the Lawyers Association of St. Louis.

HIRSCHLER FLEISCHER PROMOTES FOUR; ADDS FIVE
Hirschler Fleischer announced today that Robert G. Boyle, David S. Lionberger, Andrew M. Lohmann and Carrie Hallberg O’Malley have been promoted to become members of the Firm.

"Robert, David, Andrew and Carrie are tremendous assets to our profession and our firm," said James L. Weinberg, president of Hirschler Fleischer. "We welcome them into their new roles within the Firm. We know that our clients will continue to appreciate their experience and innovative problem-solving skills."

Additionally, Eric C. Perkins has rejoined the firm as a member of the Richmond office and Melanie M. Conrad, R. Carter Scott, Andrew P. Sherrod and Jeffrey C. Meyer have joined the Firm’s Richmond office.

Robert G. Boyle is a member of the Firm’s Real Estate section where his practice focuses on commercial real estate acquisition, development, financing and leasing. Robert assists clients with the purchase and sale of developed and undeveloped real estate, the negotiation of related real estate financings, commercial leasing projects and development related work. Robert has significant experience representing participants in all facets of sale-leaseback and bond lease financing. In addition, he has assisted several large government entities with their real estate transactions and has extensive background in real estate law. Rob obtained his J.D. from the University of Pittsburgh School of Law and his B.A. from the University of Richmond.

David S. Lionberger is a member of the Firm’s Business section where his practice includes taxation, trusts and estates, business, intellectual property and entertainment law. David’s practice focuses primarily on privately held companies, with respect to federal, state and local taxation issues including owner, business and estate planning; executive compensation; and merger, acquisition and divestiture issues. He also assists his clients with intellectual property matters. David has authored numerous articles for various publications and journals and regularly speaks at business presentations and legal seminars. David also serves as a Board member for the University of Virginia Athletics Foundation, sits on the Board of the Richmond Kiwanis Club and Connor’s Heroes Foundation and serves on the Special Olympics Virginia Summer Games and Summer Golf Classic event committees. David received his J.D. from Washington & Lee University, obtained his L.L. M. in Taxation from New York University and his B.A. from the University of Virginia.

Andrew M. Lohmann is a member of the Firm’s Business section. His practice focuses primarily on the legal needs of closely-held businesses. In this regard, Andrew has experience in a wide range of legal areas including mergers and acquisitions, general corporate and commercial law, franchise law, employment law, business formation, real estate and Employee Stock Ownership Plans (ESOPs). Andrew has counseled and assisted clients in the acquisition or sale of closely-held businesses, routinely negotiated a wide-spectrum of commercial contracts and provides ongoing general representation for clients in various industries including technology, manufacturing and construction. Andrew received his J.D. from the University of Virginia School of Law and his B.A. from The University of North Carolina at Chapel Hill.

Carrie Hallberg O’Malley is a member of the Firm’s Real Estate Section practicing from the Firm’s Fredericksburg office. During her career at Hirschler Fleischer, Carrie has been involved in complicated real estate contract negotiations, acquisitions, sales, refinancings, loan pool purchases, commercial leasing matters, complex title insurance underwriting matters and liquor license legal matters. Carrie received her B.S.B.A. from the E. Claiborne Robbins School of Business at the University of Richmond and her J.D. from the T.C. Williams School of Law at the University of Richmond. As part of a joint degree program Carrie also earned her Masters in Business Administration from the Richard S. Reynolds Graduate School of Business at the University of Richmond after only three years of study. Carrie is the co-author of a chapter and several subchapters of the Virginia CLE Handbook titled Contract Law in Virginia.

Eric C. Perkins rejoined the Firm as a member of the Business Section and the Real Estate Securities Practice Group after serving as the Chief Legal Officer for a national real estate investment and management company where he oversaw the company’s tenant-in-common offerings, acquisitions and business transactions. At the Firm, Eric focuses on real estate securities offerings, franchising, and tax-exempt organizations. He has assisted real estate sponsors in raising over $800 million in Regulation D private offerings and specializes in advising entrepreneurs on franchising matters and related business issues. Eric is an author and lecturer on a variety of securities and business law topics, including co-author of a Virginia CLE handbook titled Contract Law in Virginia. Eric received both his J.D. from the University of Virginia School of Law and his B.A. from the University of Virginia.

R. Carter Scott is a member of the Firm’s Business section where his practice focuses on corporate and securities law matters, including the formation and capitalization of corporations, partnerships and limited liability companies. He regularly deals with issues of state corporate and partnership law, federal and state securities laws and regulations, and federal tax laws affecting various forms of business organizations. His work with emerging business includes private placements, venture capital and mergers and acquisitions. He has assisted with the formation and operation of two venture capital funds and represents both public and private corporations. Carter is the former Director of the Greater Richmond Technology Council and the Virginia Biotechnology Association. Carter also is the past president of the Sheltering Arms Rehabilitation Hospital and a current Member of the Virginia Biotechnology Association. Carter received his B.A. from the University of Virginia, his L.L.B. from the University of Richmond School of Law and his L.L.M. from New York University.

Melanie M. Conrad is an associate in the Firm’s Litigation section. Her practice encompasses a variety of civil and commercial disputes. Melanie received her J.D. from the Marshall-Wythe School of Law at the College of William & Mary and her undergraduate degree from Miami University in Ohio. While in law school, Melanie served on the school’s Honor Council, the Moot Court Board and as a teaching assistant. Prior to law school, Melanie spent months in Western Kenya doing biological anthropology field research and upon her return to the United States, she worked as an internet consultant for an advertising firm in Cincinnati, Ohio.

Jeffrey C. Meyer is an associate in the Firm’s Real Estate section, where his practice involves the sale, acquisition, leasing and financing of commercial real estate. Jeffrey received his B.B.A. in Finance from James Madison University and his J.D. from the T.C. Williams School of Law at the University of Richmond where he was a member of the Richmond Law Review.

Andrew P. Sherrod is an associate in the Firm’s Litigation section where his practice encompasses a variety of civil and commercial matters in state and federal courts. Andrew has experience counseling clients and litigating cases involving employment disputes, breach of contract, business torts and real property issues. In addition, Andrew has experience defending life, health and disability insurance litigation under ERISA and state law. Andrew received his J.D. with high honors from the University of North Carolina at Chapel Hill School of Law and his B.A. from Hampden-Sydney College.

Nelson Diaz Receives Thurgood Marshall College Fund Award of Excellence
Blank Rome partner Nelson A. Diaz is being honored in Philadelphia by the Thurgood Marshall College Fund in its Fifth Annual Awards of Excellence.

Appointed by Governor Thornburgh in 1981, Mr. Diaz was the youngest judge elected in Philadelphia to the Court of Common Pleas, and the first Latino judge in Pennsylvania's history, and served the court until 1993. The Supreme Court of Pennsylvania appointed him administrative judge where he saved millions of dollars and reformed the court's efficiency with a case flow program using a nationally recognized Pro-Tem Judges Program.

Mr. Diaz was appointed by the Mayor as City Solicitor of Philadelphia and was appointed by President Clinton as General Counsel for the U.S. Department of Housing and Urban Development, where he developed opinions that reformed public housing and mixed-use housing programs. He was instrumental in increasing the number of women and minority lawyers at HUD and the City Solicitor's Office.

Mr. Diaz was special assistant to Vice President Walter F. Mondale as a White House Fellow, and executive director of the Spanish Merchants Association of Philadelphia.

Blank Rome is honored to have a partner who is nationally recognized for his impact on the quality of lives of so many people. Mr. Diaz has been recognized for a life spent opening opportunities in education, housing, and economic development for those who have been systematically denied equal access to equal opportunity. He was named as one of the 100 most influential Hispanics in America by Hispanic Business and has hundreds of awards for his leadership in business and the community. He appears in Rosey Grier's book All-American Heroes, as well as in Keith Harrell's book, The Attitude of Leadership. Mr. Diaz is the co-chair of the annual Martin Luther King Day of Service and is also a member of the Philadelphia Children's Commission. Mr. Diaz has been named to numerous Who’s Who lists, including the East, Hispanic-Americans, Law, Law Enforcement, Delaware Valley, American Politics, and America.

The Thurgood Marshall College Fund was named for the late U.S. Supreme Court Justice. It is the only national organization of its type that provides merit-based scholarships and programmatic support to students attending the U.S.’s public historically black colleges and universities.

Bank Acquisition "Dealmaker" Profiled in the News
Bruce Rosetto, emerging companies partner in Blank Rome's Boca Raton office, was profiled as a "Dealmaker" in South Florida's Daily Business Review.

Mr. Rosetto recently represented Sun American Bancorp in its $41.1 million acquisition of Tequesta-based Independent Community Bank.

The sale price, which was roughly three times Independent’s equity capital of $13.8 million, was comparable to other recent South Florida bank acquisitions, Rosetto said.

Rosetto said no hang-ups existed with the Independent deal because it was a profitable, well run institution without regulatory problems.

Construction Partner Albert Bates, Jr. to Join Duane Morris in Pittsburgh
Duane Morris LLP is pleased to announce the arrival of Albert Bates, Jr., formerly a partner of Reed Smith, as a partner in the Pittsburgh office. Albee joins the Trial Practice Group, focusing on construction litigation and domestic and international arbitration matters.

Albee joins the firm with extensive litigation and arbitration experience, with an emphasis on the resolution of construction claims, commercial contract matters, and other complex technical, environmental, and business disputes. He has represented multinational corporations, domestic and international owners, contractors, subcontractors, engineers, equipment manufacturers, and lending institutions on a wide variety of construction projects, including power plants, chemical plants, pharmaceutical projects, steel mills, mass transit and highway projects, airports, mixed-use facilities, and sports and entertainment venues. He also regularly serves as an arbitrator or mediator, having served as a neutral on over 100 occasions, including disputes with amounts in controversy approaching $100 million. He was included in the 2007 edition of The Best Lawyers in America, and will be included in the inaugural edition of The Best Lawyers International in the field of international arbitration and mediation. He has also been recognized as a Pennsylvania Super Lawyer by Philadelphia Magazine since 2004.

Admitted to practice in Pennsylvania and the District of Columbia, Albee received his J.D. and M.B.A. from Vanderbilt University in 1987, and his B.A., cum laude, from Washington and Jefferson College in 1983, where he was honored as the James C. McGregor scholar.

Goldberg Kohn and Otterbourg, Steindler, Houston & Rosen co-hosted the Commercial Finance Association's first International Asset-Based Lending Workshop in Chicago
Goldberg Kohn and New-York based Otterbourg, Steindler, Houston & Rosen organized and co-hosted the Commercial Finance Association's first International Asset-Based Lending Workshop in Chicago on April 18 and 19. In addition to representatives of the Goldberg Kohn and Otterbourg firms, panelists included lawyers and businesspeople from Bank of America, General Electric Capital Corporation, Bank of Montreal, and LaSalle National Bank, as well as lawyers from England, The Netherlands, Brazil, Hong Kong, Germany and Mexico. Attendees included representatives of many major financial institutions. The focus of the workshop was analyzing, structuring, and working out international asset-based loans. Based on its success this year, the CFA plans to make this an annual conference.
