Janet Horton Successfully Represents School Board in Recent Petition
"Bracewell & Giuliani LLP school law partner Janet L. Horton successfully represented the administration of the Spring Independent School District in its argument to the Spring school board recently to dismiss a petition from a posh Spring subdivision to leave Spring ISD and join the Klein ISD.

The petition, filed on behalf of 190 members of the Northgate Forest subdivision, requested that the area be detached from the predominantly minority Spring ISD and annexed to the more affluent, less diverse Klein ISD.

Ms. Horton successfully argued that the petition failed to meet a Texas Education Code law dictating that the loss of taxable property not be disproportionate to the number of students in the area to be detached. “The petition did not meet the statutory requirements because the assessed value of the subdivision was $92.5 million, but only seven students from Northgate who currently attend Spring ISD schools would move to Klein ISD; therefore the ratio rule in the law was violated."

Kuzmanovic Authors Section in ABA Summary
Tomislav Z. Kuzmanovic, a partner in the Milwaukee office of Hinshaw & Culbertson LLP, has written and had published as part of the ABA Tort Trial & Insurance Practice Section’s state by state summary of Punitive Damages in Commercial Transportation a chapter on Wisconsin punitive damages law. The chapter was published in April 2007.

Kuzmanovic Re-elected
Tomislav Z. Kuzmanovic, a partner in the Milwaukee office of Hinshaw & Culbertson LLP, was recently re-elected to the Executive Council of the Croatian Academy of America, an academic and scholarly organization which devotes itself to the study and advancement of Croatian history and culture. In addition to his service on the Executive Council, Mr. Kuzmanovic has been published in the organization's yearly publication, The Journal of Croatian Studies, providing an analysis and overview of the Croatian Constitution.

LBO Creates European Waste Management Leader
White & Case advised mandated lead arrangers, ABN AMRO Bank N.V., BNP Paribas, CIBC World Markets PLC, ING Bank N.V. and Lehman Brothers International (Europe), in connection with the senior financing to private equity houses CVC Capital Partners ("CVC") and Kohlberg Kravis Roberts & Co. ("KKR") for their acquisition of the Van Gansewinkel Groep ("Van Gansewinkel"). Van Gansewinkel is a leading European waste service provider with a total 2006 turnover of more than €600 million and around 4,000 employees.

The consortium will combine Van Gansewinkel with Dutch waste company AVR, which was acquired for €1.4 billion by the same consortium last year. The new organisation will become a fully integrated waste management company covering the entire waste chain from consultancy through collection, to recycling and end-treatment, creating a top European player in waste management.

"We are continuing to see high levels of activity in the European leveraged buyout market and although there have been less mega-deals so far this year, we have seen a steady flow of deals being brought to market," commented Maurice Allen, co-head of the Firm's Banking & Capital Markets Group in London. "Market data shows that in 2006, the Netherlands ranked joint second by deal value and fourth by number of deals in the European buyout market, and with the investment opportunities that the nation offers, this is only set to continue."

The White & Case team advising on the deal was co-led by partner Maurice Allen and counsel Emma Menzies, working alongside associate Kelly Gibson and trainee solicitor Leonie Carroll.

Last year the Firm's leveraged finance team in London acted on a series of high-profile leveraged finance deals valued at €86 billion. Recent transactions that the team has worked on involving Dutch targets include: the €415 million acquisition by Allianz Capital Partners and ABN AMRO Capital of Sdu B.V., a publishing and security identification group, from the Ministry of Finance of the State of the Netherlands; the €1.3 billion financing for CVC and KKR's €1.4 billion acquisition of AVR; the €172.5 million senior and €32.5 million mezzanine facilities provided to Waterland Private Equity Investment B.V. for the acquisition of gaming company JVH Gaming B.V.; the €410 million acquisition of leading cable operator Multikabel NV by Warburg Pincus; and CVC's acquisition from WMO Beheer of outstanding shares in Wavin, a Netherlands-based plastic pipes manufacturer, involving a €720 million term and €145 million revolving credit facility.

V&E's Matt Nicely Honored by Alma Mater
Washington College of Law and the International Trade Law Society (ITLS) has given its first annual Distinguished Alumni honor to Vinson & Elkins LLP Counsel Matt Nicely for “his commitment to foster and promote the success of law students” in the practice of international trade law.

The award was presented to Mr. Nicely by WCL Dean Claudio Grossman and the ITLS leaders at a dinner Thursday evening in Washington, D.C.

Mr. Nicely, a member of the firm’s International Trade Practice Group, is a 1991 graduate of the WCL. He specializes in trade remedy laws, World Trade Organization (WTO) dispute settlement and other trade policy disputes. He also manages investigations and reviews before the U.S. Department of Commerce and International Trade Commission on behalf of producers, exporters, importers and users of steel, agricultural and other products from countries in the Americas and Asia. Mr. Nicely also advises governments around the world on WTO compliance and dispute settlement.

Matt Simpson, current president and co-founder of the ITLS, said that when the organization decided to create the distinguished alumni award last year, a list of more than 20 WCL alumni were identified as leading role models for International Trade Law students. From there, the list was narrowed to three attorneys who the group felt were the “best of the best.”

“When we reviewed the names, we knew that there was no question that Mr. Nicely deserved to be the first recipient of this award,” said Mr. Simpson. “Mr. Nicely"s work on the ABA Steering Committee on International Trade Law and seeing him regularly interact with students clearly shows that he is someone who goes above and beyond to engage and encourage those around him.”

The ITLS is a student organization at WCL founded in the fall of 2005. The organization was created after the founding students recognized a need for a student organization focusing not only on International issues, but specifically International trade. Since its inception two years ago, the ITLS has grown to become one of the largest student-run organizations on campus, with over 200 members.

In the fall, Mr. Nicely will begin teaching a class at WCL entitled “The American Trade Regime.” Additionally, he will take over in September as Chair of the ABA International Law Section’s International Trade Committee.

Daniel J. Anders Nominated by Gov. Rendell to Philadelphia Court of Common Pleas
Daniel J. Anders, an associate with Pepper Hamilton LLP, has been nominated by Pennsylvania Governor Edward G. Rendell to fill a seat on the Philadelphia Court of Common Pleas. His April 19 nomination is subject to confirmation by the Pennsylvania Senate, and he would fill a vacancy created by now-Justice James J. Fitzgerald III, who was elevated to the Pennsylvania Supreme Court.

Mr. Anders had been running as a Democratic candidate for the Common Pleas Court, and with this nomination, has withdrawn from the 2007 race. The term for which he has been nominated will expire in January 2010, and he will run for a full 10-year term in the 2009 election cycle.

The Legal Intelligencer published on April 20 a front-page article about Mr. Anders’ nomination. In it, he is quoted as saying, "I'm honored to have been nominated by Gov. Rendell. I have long desired to be a public servant and see this as a great opportunity to serve the people of Philadelphia and help improve the delivery of justice in our courts."

Mr. Anders, an openly gay attorney, believes that diversity on the bench will serve the citizens of Philadelphia well. "It's important that we are reflecting the diversity of the community and I add to the diversity of the bench," he said in the Legal article.

Also in that article, Robert E. Heideck, Pepper's executive partner, said, "Dan is one of our finest associates. He is going to make a terrific judge. We are very pleased and proud for him, but we will miss him."

Mr. Anders focuses his law practice on commercial litigation, with particular emphasis on federal securities, antitrust, insurance sales practice and ERISA class actions. He serves as general counsel to the Elton John AIDS Foundation, and he is former president of the board of the Center for Lesbian and Gay Civil Rights.

Mr. Anders received the Legal Defense Award from the Allentown Human Relations Commission in 2005, for his work on defending Allentown's anti-discrimination ordinance. In 2004, he was recognized by the Pennsylvania Bar Association with a Pro Bono Service Award and received the Outstanding Community Service Award from PA-GALA (Pennsylvania Gay and Lesbian Alliance). He also has received the Michael Greenberg Award for Lifetime Achievement from GALLOP (Gay and Lesbian Lawyers of Philadelphia) and been recognized by the Center for Lesbian and Gay Civil Rights as its Pro Bono Attorney of the Year.

Lisa Adams, partner in the firm’s Intellectual Property practice, participated as a panelist during Taking Ideas to Market, an Invention to Venture workshop focusing on women in technology, at the University of Massachusetts, Lowell, on April 20.
