T&K Attorney to Present at National Conferences
Thompson & Knight Environmental Law Partner Scott D. Deatherage is a featured speaker at two upcoming national events. Mr. Deatherage will present "Environmental, Safety & Climate Change Issues Raise New Challenges for Directors and Officers: Will D&O Insurance Cover Any Lawsuits Concerning These Issues?" on May 16, 2007, at the 3rd Annual Directors & Officers Insurance ExecuSummit in New York City. The next day he will be in Las Vegas, Nevada, for the Wells Fargo CFO Roundtable where he and Deloitte Senior Manager Kathryn Pavlovsky will discuss the "Newest Disclosure & Accounting Requirements for Environmental Liabilities Under FIN #47 / Sarbanes-Oxley."

"Both events will help companies who are facing many new environmental issues in today's regulatory marketplace," says Mr. Deatherage. "Climate change concerns and new accounting standards can be hard to navigate. Over the last six months there has been a sea change in terms of the challenges facing companies from the TXU transaction to the U.S. Supreme Court decision holding that the EPA has the authority to regulate greenhouse gas emissions under the Clean Air Act. In this new era of the impact of environmental pressures on companies, I hope to provide attendees with a better grasp on how to effectively deal with these important issues and challenges."

Mr. Deatherage focuses his practice on permitting, compliance, administrative law, and judicial litigation in environmental matters. In the area of environmental management and corporate governance, he has counseled companies on reporting protocols to boards of directors, development or review and revision of environmental management systems, compliance audits, and developing operating procedures and policies to address environmental issues.

In particular, he focuses on environmental financial disclosure issues. For the last several years, he has served as the Vice Chair for Newsletters for the Special Committee on Environmental Disclosure of the American Bar Association.

Mr. Deatherage authors two blogs relating to the environment. On his blog "Law and the Environment," http://lawandenvironment.typepad.com/, he publishes articles, commentary, and analysis of the ever-evolving legal, policy, and practical developments in environmental law, management, corporate governance, and financial disclosure. This blog also discusses how affected corporations as well as their management and directors are evolving to survive and prosper in this dynamic regulatory environment. His other blog is entitled "The New Carbon Cycle," http://lawandenvironment.typepad.com/newcarboncycle/. Here he offers news and analysis of the rapidly evolving law and policy surrounding carbon trading and markets, climate change, and renewable energy.

Thacher Proffitt’s Bulletin Discusses New SEC Deregistration Rules for Foreign Companies
Thacher Proffitt's Client Bulletin, "SEC Provides Relief to Non-US Issuers and Adopts New Deregistration Rules," (issued in April 2007) was republished in Securities Law360. Co-authored by Walter Van Dorn and Marc Rossell, the Bulletin discusses the new rules, which take effect on June 4th for non-U.S. companies. The rules substantially facilitate the process for a non-U.S. company qualifying as a foreign private issuer to terminate its SEC registration and reporting obligations. These recent SEC accommodations for non-U.S. issuers, including the new exit rules, should help to restore the interest of non-U.S. companies in the U.S. markets, or at least reduce perceived regulatory barriers to entering the U.S. capital markets.
