Thacher Proffitt Announces New Counsel Lynn M. Bodkin
Thacher Proffitt & Wood LLP announced today that Lynn M. Bodkin has joined Thacher Proffitt as Counsel, effective April 23, 2007. Lynn is a member of the Real Estate Practice Group and resides in the New York office.

“We welcome Lynn back to the Firm,” said Donald Simone, chair of the Real Estate Practice Group. “Lynn has significant experience in structuring financings for real estate investments, and she is a great asset to our team, particularly in the areas of mortgage and mezzanine loans.”

Lynn comes to Thacher Proffitt from Metropolitan Life Insurance Company, where she was an Assistant General Counsel in the real estate investments unit. Prior to Metropolitan Life, she was an Associate General Counsel in the investment section of the real estate unit at New York Life Insurance Company. Lynn was an associate with Thacher Proffitt from 1986-1989.

About Lynn M. Bodkin

Lynn Bodkin’s practice focuses on commercial debt, equity and joint venture transactions, and capital markets transactions, including structuring real estate financings such as warehouse/credit facilities, mortgage and mezzanine loans, and loan participations and syndications. She created and implemented the capital markets program at Metropolitan Life, and was responsible for all aspects of real estate transactions and the management of its real estate investment portfolio.

Lynn received her JD from Benjamin N. Cardozo School of Law, a Master of Music from Boston University, and both a Bachelor of Education and a Bachelor of Music, with honors, from the University of Western Ontario, Canada. She is admitted to the New York bar, as well as the Eastern and Southern Districts of New York.

STB Representing KKR and Pessina in Buyout of Alliance Boots plc
STB is representing Kohlberg Kravis Roberts & Co. and Stefano Pessina in connection with the acquisition of Alliance Boots plc. Stefano Pessina is the current deputy chairman of the company and, with an approximate 15% stake, is the largest shareholder. KKR and Pessina are offering £10.90 per share, representing an equity valuation of £10.6 billion ($21.2 billion). If consummated, the transaction would be the largest-ever European buyout transaction based on value and the first ever take-private of a FTSE 100 company.

Alliance Boots is an international pharmacy-led health and beauty group with a leading European retail pharmacy business comprising approximately 3,100 retail outlets and a leading European distributor with a wholesale network of around 380 depots serving over 120,000 outlets. The closing of the transaction is subject to satisfaction of regulatory conditions and other customary conditions.

STB lawyers working on the transaction include Mark Pflug, Tom Wedeles, Jenny Marsh (M&A), Tony Keal, Ian Barratt, Helen Neish (Credit), Steve Todrys, Meredith Jones and Jen Marsh (Tax), David Vann, Jonathan Parker, Alastair Mackay (Antitrust). Former associate Julia Luebke (M&A) also provided valuable assistance.

Sidley Austin LLP Partners with Dorsey High School Law Magnet Program
The Los Angeles office of Sidley Austin LLP will announce its role as educational partner with Dorsey High School’s Law Magnet Program at an April 30th Honors Assembly. The firm will sponsor the event -- a first of its kind for the Law Magnet -- to honor students for their academic achievements during the fall semester and recognize those who participated in the Constitutional Rights Foundation’s Mock Trial competition. Superintendent David Brewer III will deliver the keynote address during the Assembly. At the Assembly, Sidley also will announce that it will be awarding $2,500 scholarships to one female and one male college-bound graduating student from this year’s Law Magnet senior class.

Dorsey High School is one of only three schools in the Los Angeles Unified School District with a Law and Public Service Magnet Program, which provides a “school within a school” curriculum for students interested in careers in law and public service. Dorsey’s Law Magnet serves approximately 200 students in grades nine through twelve, preparing them for college through exposure to career options in the legal arena and volunteer opportunities throughout the community. Law Magnet classes incorporate aspects of law and/or public service, and are complemented with field trips, guest speakers and internships. In addition to class requirements, participants are also required to devote a specific number of hours per year to community service.

“We are extremely grateful for the generous support and mentorship of Sidley’s lawyers,” said Daphne McAdoo, coordinator of Dorsey’s Law Magnet. “Many of our students have never received a trophy, nor been recognized for their academic achievements, and we thank Sidley for sponsoring this Honors Assembly so that our students can share their achievements with their peers.”

Among the unique features of the Law Magnet is its campus courtroom – a classroom that has been converted into a courtroom, complete with a jury box, witness stand and counsel tables. This courtroom is used for the monthly Teen Court presided over by Judge David Wesley of the Los Angeles Criminal Court, in which a jury comprised of students hears and resolves cases involving minor offenses allegedly committed by teenagers.

Sidley has been collaborating with faculty and administrators of the Law Magnet and have presented seminars on campus, hosted students for a field trip to its Los Angeles office and organized a field trip to Loyola Law School. Lawyers from the firm’s Los Angeles office also served as volunteer coaches for the Law Magnet’s Mock Trial team. Law Magnet students also intern at its Los Angeles office. Sidley will be providing the Law Magnet with ten laptop computers equipped with software donated by Microsoft to establish a computer lab on campus for the students.

“By partnering with the Law Magnet, we hope to enhance the academic and career development of the students,” said Gary Craig, a Sidley litigation partner and coordinator of the partnership. “In addition to being able to give back, it is also an incredibly rewarding experience for those of us who have had the opportunity to work with the students.”

The Los Angeles office’s educational partnership with Dorsey’s Law Magnet is part of Sidley’s firmwide dedication to supporting the local communities in which its offices are based. In addition to the Law Magnet program, other Sidley programs have included the Sidley Pre-Law Scholars Program and the Pro Bono Fellowship Program.

Shearman & Sterling advises on Yangzijiang Shipbuilding (Holdings) Ltd. IPO
Shearman & Sterling has represented underwriters UBS and DBS Bank, in connection with the US$717 million Rule 144A/ Regulation S initial public offering by Yangzijiang Shipbuilding (Holdings) Ltd. This is the largest IPO in Singapore in recent years, after Thai Beverage's US$850 million offer in 2006 (in which Shearman & Sterling was also involved, representing the underwriters on that transaction).

Yangzijiang, one of the leading shipbuilders in the PRC, is based in the coastal province of Jiangsu, near Shanghai. UBS was the global coordinator and sole bookrunner, as well as joint lead manager with DBS Bank for the deal.

The Shearman & Sterling team was led by Hong Kong capital markets partner Matthew Bersani and Singapore capital markets counsel Gail Ong. The team included Menlo Park partner Laurence Crouch, New York partner Paul Schreiber, associates Su-Ann Cheah in Singapore, Lorna Chen and Isabelle Sajous in New York, Fan Ziyang and Liu Jun in Beijing and Elizabeth Lieb in Menlo Park and legal assistants Derek Perriam and Wei Li in Singapore.

Private Equity Analyst ranks DLA Piper third most active firm in the world
DLA Piper finished 2006 as the third most active firm in the world in private equity and venture capital, according to the year-end league tables issued by Private Equity Analyst. The firm placed third in both overall deals – which includes both private equity and venture capital deals – and also for the total number of private equity deals.

The firm’s performance in private equity and venture capital was driven by robust deal flow in key markets including Atlanta, Austin, Boston, Chicago, China, East Palo Alto, New York, Northern Virginia, Seattle, the U.K. and Washington, D.C.

“We are thrilled with our strong standing in Private Equity Analyst’s 2006 year-end league tables,” said Anthony Rickert, co-chair of DLA Piper’s Private Equity practice group. “This latest accomplishment is an indication of how our firm’s practice continues to succeed with hard work put forth by a group of extraordinary lawyers.”

Jenner & Block Obtains Wardship for Guatemalan Girl in Pro Bono Victory
"Jenner & Block Associates Wade A. Thomson and Erin N. Linder recently obtained wardship in the State of Illinois for a girl who had been abused by her father in Guatemala. As a result, the girl will now be able to permanently live with her guardian in Chicago.

Mr. Thomson and Ms. Linder agreed to take the case in answer to an urgent request by the National Immigrant Justice Center (NIJC) to help the girl, who was soon to turn 18 years old and therefore lose her best opportunity to remain in the U.S. under the protection of a guardian.

In the short period of time available, Wade and Erin met with the client, prepared detailed affidavits, and tracked down background and supporting information to present her case. They also had to persuade a State’s Attorney to file a petition for wardship on behalf of our client. However, the State’s Attorney said she would not file a petition for wardship without independent corroboration from Guatemala of our client’s allegations of abuse.

Mr. Thomson, who had spent several months in Guatemala before going to law school, then recruited the pro bono assistance of International Justice Mission (IJM) in Guatemala, which sent a team to the girl’s remote village and obtained corroboration from witnesses of the girl’s abuse. After the State’s Attorney agreed to file the petition for wardship, IJM returned to the village to serve notice of the filed petition on the girl’s parents.

Ms. Linder worked with the NIJC, the State’s Attorney, and the Public Guardian to present the girl’s case and convince a judge that the girl deserved wardship and the chance to live safely with her guardian in Chicago."
