Morris, Manning & Martin Among Leaders in Venture Capital Deals
Recent financing statistics show Atlanta-based Morris, Manning & Martin, LLP is among the Top 10 law firms on the East Coast for venture capital deals and continues to dominate the Atlanta market.

The figures from Dow Jones’ Venture One, a database that tracks venture capital deals, show that in 2006, Morris, Manning & Martin closed VC deals for more East Coast companies than any other Atlanta-based law firm.

It was also among the Top 10 in these three significant categories for the East Coast last year:

• The number of transactions, with 16 venture capital deals
• Representation of companies backed by venture capital, with 44 such clients
• Representation of venture capital-backed companies involved in mergers and sales;

the firm represented 32 such companies “These figures underscore the leadership role that MMM plays in representing venturebacked companies in the U.S.,” said John Yates, Chair of the firm’s Technology Group. “We are honored to have represented more venture-backed companies than any other firm in the Southeast. Our contacts and experience in the venture capital community mean we are fully equipped to help firms of all sizes meet their legal needs.”

The figures count companies based east of the Mississippi River that completed a seed, first, second, later stage or restart round of VC financing.

Hinshaw Lawyers Included in Top 100 Leading Women Lawyers in Illinois
The national law firm of Hinshaw & Culbertson LLP is pleased to announce that two partners in the firm’s Rockford office, Pamela S. Fox and Marcia L. Mueller, have been named among the Top 100 Leading Women Lawyers in Illinois by the Leading Lawyers Network. Ms. Mueller is listed among the Top 50 Women Lawyers in Illinois.

Ms. Marcia L. Mueller concentrates her practice in the areas of estate planning, tax qualified retirement benefit plans governed by ERISA, non-qualified deferred compensation plans, tax-related matters and financial planning.

Her experience includes handling aspects of corporate representation, including helping clients structure appropriate operating entities and advising businesses in the area of succession planning.

Also, an active member of the Rockford community, Ms. Mueller currently serves on the Board for Klehm Arboretum & Botanical Garden, as well as a trustee for the Rockford Police Pension Board after receiving a mayoral appointment.

In 2005, Ms. Mueller was named as a “Super Lawyer” in the areas of Estate Planning/Trusts by Illinois Super Lawyers magazine.

Prior to joining Hinshaw, Ms. Mueller was Vice President and Trust Officer with First of America Trust Company.

Ms. Mueller received her bachelor’s degree from the University of Missouri in 1975. She graduated from the John Marshall Law School in 1978 with distinction.

Ms. Fox has a general commercial law practice with an emphasis on banking and employment law. Her current clients include state and national banks and their non-bank subsidiaries. Ms. Fox is also a frequent lecturer in the area of employment law.

An active member of the Rockford community, Ms. Fox is currently a member of the Executive Committee and Chairman of the Governance Committee for the Rockford Health System Board of Trustees. She also serves on the Executive Committee for the Rockford Area Economic Development Council.

Prior to joining Hinshaw, Ms. Fox practiced for two decades with Maggio & Fox.

A graduate of the University of Colorado in 1974, Ms. Fox graduated Phi Beta Kappa from the University of Colorado School of Law in 1977

Hinshaw Partners Among Top 100 in Illinois
The March 2007 issue of Leading Lawyers Network Magazine lists the top 100 Leading Lawyers in Illinois in all areas of law. Three Hinshaw & Culbertson LLP partners, Donald L. Mrozek, J. William Roberts and Charles F. Thomas, have been named to the list.

Donald Mrozek, Chairman of Hinshaw since 1989, engages primarily in business litigation; fidelity, surety and fiduciary bond claims and litigation; and transaction planning and legal risk assessment.

J. William Roberts, Managing Partner of Hinshaw and Chair of the firm's national Business Litigation Practice Group, concentrates his practice in complex civil and criminal litigation, mediation, government relations and employment law.

Charles Thomas, a recipient of Hinshaw’s Lifetime Achievement Award in 2006, practices in general corporate and business law, with an emphasis on mergers and acquisitions, corporate health care law and general business transactions.

The top 100 Leading Lawyers list is compiled primarily on the basis of the number of peer recommendations of an attorney, consideration of qualitative information and ethical standing of the attorney, and review by the Leading Lawyers Network Advisory Board. The Advisory Board is comprised of those Leading Lawyers who received the highest number of votes for their area(s) of law and/or their region of the state.

Also selected for inclusion on the top 100 Leading Lawyers in Illinois were high-profile lawyers such as Fred H. Bartlit and Philip S. Beck, of Bartlit Beck Herman Palenchar & Scott; Tyrone C. Fahner, of Mayer Brown Rowe & Maw; Michael A. Pope, of McDermott Will & Emery; Jerold S. Solovy and Anton R. Valukas, of Jenner & Block; and Dan K. Webb, of Winston & Strawn. Few firms had three or more attorneys included on this list, and many of the most prestigious firms headquartered in or with offices in Illinois had none selected.

Ed Diller of Taft Stettinius & Hollister to Serve as Commencement Speaker at Bluffton University
Edward D. Diller, managing partner of Taft Stettinius & Hollister’s
Cincinnati office, will speak in May at the commencement ceremony of his alma mater, Bluffton University.

Diller practices primarily in the areas of real estate, health care and general corporate law. After receiving his undergraduate degree from Bluffton University, he attended the University of Oregon and later received his law degree from Harvard Law School. He is currently a director of Messer, Inc. and Messer Construction Company, and serves as a member and vice-chair of the Mennonite Education Agency; as a member of the Boards of Trustees of Cincinnati Museum Center and as chair of its Governance Committee; Executive Service Corps of Cincinnati, and the Dan Beard Council, Boy Scouts of America. Diller also serves on the Advisory Boards of the Center for Holocaust Education and Deloitte & Touche Cincinnati Office Women’s Initiative.

In 2002, Diller received an Honorary Doctorate Degree from Bluffton University after completing 22 years on the University’s Board of Trustees, 11 of those years as chair. He has been listed in The Best Lawyers in America since 1987 and included among the 100 Ohio Super Lawyers listings jointly developed by the publishers of Cincinnati Magazine and Law & Politics magazine. Diller also is listed in Chambers USA, 2006 edition. In 2006, he was awarded the Silver Beaver Award by the Dan Beard Council/Boy Scouts of America.

Davis Polk & Wardwell Advises ABN AMRO on Major Transactions With Barclays and Bank of America
Davis Polk Advises ABN AMRO on Its $91 Billion Merger With Barclays

In a Separate Transaction, the Firm Is Advising ABN AMRO on the $21 Billion Sale of La Salle Bank Corporation to Bank of America

Davis Polk & Wardwell is advising ABN AMRO Holding N.V. on its proposed merger with Barclays plc. The transaction is the largest-ever in the banking industry and will create one of the world’s top five banks. Based in the Netherlands, ABN AMRO is an international bank. Based in the United Kingdom, Barclays is a financial services group with a large international presence in Europe, the United States, Africa and Asia.

According to the terms of the merger, ABN AMRO ordinary shareholders will receive 3.225 ordinary shares in Barclays for each existing ABN AMRO ordinary share, valuing the transaction at approximately $91 billion. The transaction is expected to be completed during the fourth quarter of 2007.

In a separate transaction, Davis Polk is advising ABN AMRO on the sale of La Salle Bank Corporation, ABN AMRO’s U.S. bank holding company, to Bank of America Corporation for $21 billion. La Salle is the parent of La Salle Bank, N.A., Chicago, Illinois and La Salle Bank Midwest, N.A., Troy, Michigan. The transaction represents the ninth-largest U.S. bank merger in history and is expected to close before completion of the Barclays offer.

The Davis Polk European-based corporate team advising on ABN AMRO’s proposed merger with Barclays includes partners Margaret E. Tahyar and Thomas J. Reid, associates John B. Meade, Harold J.G. Brunink, Daniel M. Shapiro and Anna Tikkanen and legal assistants Damion R. Jackson and Paulina Vargas.

The Davis Polk New York-based corporate team advising on ABN AMRO’s sale of La Salle to Bank of America includes partners William L. Taylor and William H. Aaronson and associates Michael Davis and Shih-Jern Liang (not yet admitted). Partner Barbara Nims of the New York office is providing employment advice.

Davis Polk partner Randall D. Guynn of the New York office is leading the U.S. bank regulatory team advising on both the Barclays merger and on the sale of La Salle Bank Corporation. Davis Polk Advises AstraZeneca on Its Acquisition of MedImmune
Davis Polk & Wardwell is advising AstraZeneca PLC on its acquisition of MedImmune, Inc. AstraZeneca is a leading pharmaceutical firm with headquarters in the United Kingdom. Medimmune, which is based in Maryland, is one of the world's leading biotechnology companies, focused on the areas of infectious diseases, cancer and inflammatory diseases.

Under the terms of the agreement, AstraZeneca will acquire all of the outstanding shares of MedImmune common stock at a price of $58 per share, for a total consideration of approximately $15.6 billion. The acquisition is subject to customary closing conditions, including the tender of a majority of the outstanding MedImmune shares on a fully diluted basis and the expiration or earlier termination of the Hart-Scott-Rodino waiting period and other regulatory approvals. The tender offer is expected to close in June 2007, unless extended.

Davis Polk and Co-Counsel Achieve Landmark Settlement for State Inmates with Mental Illness
Davis Polk & Wardwell served as pro bono counsel for the plaintiff, working with co-counsel from Disability Advocates, Inc., the Prisoners’ Rights Project of the Legal Aid Society, and Prisoners’ Legal Services of New York, in Disability Advocates, Inc. v. New York State Office of Mental Health and Department of Correctional Services, a landmark federal lawsuit that sought to improve the treatment and housing conditions for inmates with mental illness throughout the New York State prison system. Disability Advocates is an Albany-based not-for-profit that is authorized by federal law to advocate for the rights of persons with disabilities in New York. After five years of litigation and two weeks of trial, the parties negotiated a settlement (still subject to approval by Judge Gerard Lynch) that will provide for major improvements in psychiatric treatment for New York State inmates with mental illness.

The Private Settlement Agreement (PSA) establishes a heightened level of care for inmates with serious mental illness who are confined in Special Housing Units (SHU) for disciplinary infractions, and requires that they receive a minimum of two hours per day of out-of-cell treatment in addition to an hour of recreation. Inmates diverted from SHU to the new Residential Mental Health Unit (RMHU) will receive as many as four hours of out-of-cell treatment daily in addition to an hour of recreation. The PSA also provides for ongoing reviews by senior prison officials of disciplinary dispositions of inmates with serious mental illness, with the goal of eliminating lengthy SHU and keeplock sentences for such inmates. The PSA greatly expands mental health programs and services for inmates with mental illness in the general prison population as well, including by establishing new residential treatment programs, and extends mental health screening at reception to include all incoming inmates. We believe that the PSA is historic in the scope of its comprehensive programs.
