Jones Day advises Arlington Business Park Partnership on its acquisition of Hammersmith Embankment
"Jones Day advised Arlington Business Park Partnership on its acquisition of the 50% of units owned by its joint venture partner, Delancey, in the Hammersmith Business Parks Unit Trust for £66,000,000.

The deal follows Arlington Business Park Partnership's acquisition of Akeler at the end of 2006, on which Jones Day also advised. The deal completes ABPP’s acquisition of the 615,000 sq ft Hammersmith Embankment, one of the biggest office-led developments in London. Hammersmith Business Parks Unit Trust, which owns the property, was originally set up as a joint venture between Akeler and Delancey. ABPP's acquisition was financed by debt facilities made available by Eurohypo and the Royal Bank of Scotland.

Neil Seaton and Andrew Barker led the Jones Day team acting for Arlington Business Parks Partnership. Allen & Overy (Mark O'Neill) acted for Eurohypo and RBS."

Jones Day advised Macquarie Goodman on the £336m acquisition of Rosemound Group
"Jones Day acted for Macquarie Goodman, in relation to the acquisition of the entire issued share capital of Rosehill Top Co Limited and 50% of the share capital of Rosemound Developments Limited owned by Uberior Ventures Limited (the ""Rosemound Group""), the UK logistics developer, for up to £336 million (inclusive of assumed debt). The Rosemound Group currently has 16 sites under development and a land bank of over 1,000 acres. The acquisition makes Macquarie Goodman the UK's second largest industrial developer behind ProLogis. The consideration contains an earnout based on performance and planning triggers. Up to £30 million will be paid as a result of the satisfaction of certain planning conditions and up to £45 million will be paid as a result of satisfaction of certain profit related targets. It is intended that the Rosemound Group's property assets will be transferred into Macquarie Goodman's proposed UK logistics fund, upon its establishment later this year. The vendors were Uberior Ventures Limited and management.

The Jones Day team was led by James Goold and Neil Seaton (Corporate) and comprised Steve Walter, Mark Emerson and Suzanne Davis, (Property) Richard Adams and John Mitchell (planning), Martin Lucas (Construction), Christopher Papanicolaou (Environmental), Tim Flood (Regulatory), Andrew Barker (Finance), Blaise Marin-Curtoud (Tax), Mark Taylor (Employment), John Papadakis (Employee Benefits) and Rosalind Connor (Pensions). Wragge & Co represented management and Burness represented Uberior Ventures Limited."

Listrom Judges High School Debate Tournament
"Jenner & Block Partner Linda L. Listrom recently served as a judge for the quarter final round at the Chicago City Debate Championships hosted by a Chicago-based group that aims to improve urban public education through debate activities.

The National Association for Urban Debate League’s Chicago City Championship Tournament featured 200 Chicago-area high school students from different schools competing in teams to debate a number of political and social topics. Ms. Listrom judged a debate concerning mandatory service for all Americans.

Each stage of the Tournament, held at Chicago’s Morgan Park High School, concluded with an awards ceremony. Ms. Listrom presented the Richard M. Daley Award for Youth Leadership to Christine Horst, a student at Lane Tech High School. According to the NAUDL, this award is given each year to the Chicago Debate League student who best exemplifies certain traits and skills that the League attempts to develop in its participants such as leadership, commitment, support for teammates, and respect for opponents.

“Debate competitions like this are a great way for high school students to hone their critical thinking skills,” said Ms. Listrom, who debated competitively in both high school and college and recently began working with the NAUDL to assist the organization in its national development.

The National Association for Urban Debate Leagues is a non-profit organization that seeks to augment public education through organizing debate teams and thereby empowering youth to become engaged learners, critical thinkers, and active citizens who are effective advocates for themselves and their communities."

Denver Office Managing Partner Tom Strickland Appointed Chief Legal Officer of UnitedHealth Group
"Tom Strickland, managing partner of the Denver office of Hogan & Hartson LLP, has been named chief legal officer of UnitedHealth Group, Inc., a firm client. Strickland will assume his new duties effective May 28, 2007.

“Our presence in the Colorado legal and business community achieved a tremendous boost as a result of Tom’s leadership of our Denver office,” said Hogan & Hartson Chairman J. Warren Gorrell, Jr. “He has been instrumental in positioning Hogan & Hartson as one of the preeminent firms in Colorado for complex and sophisticated business transactions, commercial litigation, and large public projects. We are very grateful for all that Tom has done for our firm and we wish him continued success.”

Strickland will be succeeded by Cole Finegan, former Denver City Attorney and Chief of Staff to Mayor John Hickenlooper. Finegan will have overall management responsibility for the firm’s Denver office. His practice focuses on complex commercial and other relationships between businesses and governments at both the national and local level, including working with businesses and governmental entities to create and expand public-private partnerships.

During his tenure as City Attorney, Finegan reorganized that office of 100 attorneys for the first time in 20 years, which saved the city more than $1 million. As Chief of Staff, he led the successful campaign to change Denver’s charter to add a Chief Financial Officer and to modernize the city’s 100-year-old financial services structure.

“We are very pleased that Cole has agreed to take this important leadership position in our firm going forward,” said Gorrell. “Cole is a terrific person and leader, and he has an impressive legal record and a unique combination of experience in the legal, business, and political sector that undoubtedly provide him with the capabilities to lead the continued growth of our Denver office and our firm overall.""

Finegan serves as Co-Chair of the Downtown Area Plan, the entity created by the Downtown Denver Partnership and the city to present a 20-year plan for the downtown area's future development. He also serves on the Metro Denver Chamber of Commerce’s board of directors, the Denver Public Schools Foundation's board of directors, the board of the Colorado “I Have A Dream” Foundation, and as a member of the Colorado Forum. Finegan also co-chairs the Finance Committee responsible for funding the Host Committee for the 2008 Democratic National Committee.

Dykema Member Speaks At IIA Chapter Meeting
"Samuel C. Damren, member of Dykema’s Litigation Department, is scheduled to speak on the topic of ""Construction Risks"" at the Detroit Chapter Meeting of the Institute of Internal Auditors (IIA) to be held on May 8 at the Ford Conference and Event Center.

Throughout the world, The IIA is recognized as the internal audit profession's leader in certification, education, research, and technological guidance.

Mr. Damren has experience in all aspects of civil and criminal practice. He began his career as a trial prosecutor in Detroit, first with Wayne County and then with the United States Attorney’s Office. Since entering private practice in 1981, Mr. Damren has counseled and represented privately and publicly held entities in civil and criminal litigation, business planning and transactional work. He is listed in the Best Lawyers in America in both the categories of commercial litigation and arbitration, and he has published recent articles on fraud detection and deterrence."

Jeffrey Horner Lands Historic Victory for Galena Park Independent School District
"Bracewell & Giuliani LLP attorney and public law expert Jeffrey J. Horner recently represented long-time Bracewell & Giuliani client Galena Park Independent School District (GPISD) in a historic victory in federal court on Friday, April 13.

The court dismissed with prejudice the desegregation case filed against it in 1971 by ruling that the GPISD had achieved unitary status, having eliminated the old racially-segregated dual school system. Several factors are measured to determine if a school has reached unitary status including relative quality of education, diverse faculty and staff assignment, and non-discriminate facilities and resources."

David M. Barron Joins Adams and Reese LLP
"David M. Barron has joined the Washington, D.C. office of Adams and Reese as a Governmental Relations Advisor (non-lawyer) with Governmental Relations Practice Team in Special Business Services Practice Group. He has more than three decades of experience in Telecommunications and has extensive experience in other areas including National Security, Homeland Security, Emergency Preparedness and Business Continuity Planning.
