Town of Jay settles tax dispute with Androscoggin Energy LLC
JAY - Assessors voted unanimously Monday to give the former owners of a natural gas-fired power plant a $386,792.89 tax abatement and to reduce the 2005 valuation of the cogeneration center from $117.7 million to $90 million.

The decision saved taxpayers from potentially paying back $3.3 million in taxes for 2004 and 2005, if the decision had gone to court and the company won. That would have required a nearly 20 percent property tax increase, which would have been potentially crippling to Jay homeowners, Town Manager Ruth Marden said in a statement released to the news media.

Philip J. Carstens is a corporate and tax lawyer who brings over 30 years of experience representing a wide variety of clients in corporations, partnerships and limited liability companies, mergers and acquisitions, and financial transactions. His practice focuses on corporate law, tax, trusts and estates and leveraged ESOP buyouts. Carstens also has specific experience related to the design and structure of ESOPs and other plans governed by ERISA.

Jody K. Hamilton practices corporate, securities and healthcare law. She has significant experience in corporate finance, mergers and acquisitions, negotiated contracts, private security offerings, real estate matters, and ESOP transactions. Hamilton’s healthcare focuses include physician practice management, contracting issues, fraud and abuse, and stark compliance.

TOURO LAW CENTER HOSTS "WOMEN IN THE LAW"
Touro Law Center and its Journal of Race, Gender, and Ethnicity held a very special symposium, “Women in the Law,” featuring the Chief Judge of the State of New York, Hon. Judith S. Kaye, and two very impressive panels of legal experts on Tuesday, April 17.

Over 100 people attended the event. Speakers included: Hon. Margaret Chan, Civil Court of the City of New York, Kings County; Hon. Fern Fisher, Administrative Judge of the Civil Court of the City of New York; Beryl Jones, Professor of Law and Associate Dean for Student Affairs, Brooklyn Law School; Eileen Kaufman, Professor of Law, Touro Law Center; Hon. Judith S. Kaye, Chief Judge of the State of New York; Hon. Leon Lazer, Professor of Law, Touro Law Center and Former Associate Justice of the New York State Supreme Court, Appellate Division, Second Department; Craig Purcell, Partner, Glynn Mercep & Purcell L.L.P., and Chair of the Suffolk County Bar Association’s Judicial Screening Committee; Lois Carter Schlissel, Managing Partner of Meyer, Suozzi, English & Klein, P.C.; and Hon. Mary Werner, former New York State Supreme Court Justice, Suffolk County, and former Administrative Judge of Suffolk County.

Chief Judge Kaye was born in Monticello, New York, in 1938. She was appointed by Governor Mario M. Cuomo on February 22, 1993, confirmed by the State Senate on March 17, and sworn in on March 23, 1993. She is the first woman to occupy the State Judiciary's highest office. She became the first woman to serve on New York State's highest court when Governor Cuomo appointed her Associate Judge of the Court of Appeals on September 12, 1983.

Her current posts also include Chair of the Permanent Judicial Commission on Justice for Children; Founding Member and Honorary Chair, Judges and Lawyers Breast Cancer Alert (JALBCA); Member of the Board of Editors, New York State Bar Journal; and Trustee, The William Nelson Cromwell Foundation. She served as President of the Conference of Chief Justices and Chair of the Board of Directors, National Center for State Courts (2002-03). She is the author of numerous publications – particularly articles dealing with legal process, state constitutional law, women in law, professional ethics and problem-solving courts – as well as the recipient of many awards and several honorary degrees.

Chief Judge Kaye’s husband (attorney Stephen Rackow Kaye) died October 30, 2006. They have three children.

Emerzian successfully defends East Coast developer in breach of contract case.
McCormick Barstow attorney, David Emerzian, successfully defended Connecticut-based real estate developer, CT Homes, in a breach of contract case.

In this case, the defendant, CT Homes and its local subsidiary, Central Valley Homes LLC, entered into a real estate agreement to purchase property in FresnoCounty. Plaintiffs in the case claimed that the seller had already entered an agreement to sell the property to them. They further claimed that the defendants paid additional dollars out of escrow in order to break this other agreement.

The plaintiffs sought claims for specific performance, claims for inducing breach of contract and intentional interference with contractual relations, along with punitive damages. The plaintiffs alleged to have suffered approximately $250,000 in damages, and sought additional punitive damages based upon their intentional tort claims.

After deliberating for one day, the jury returned a 10-2 verdict, finding no fault on the part of Mr. Emerzian’s clients. The trial, which took place in Fresno County Superior Court, lasted more than two weeks.

Charlie Payne, along with other trustees in the area, will be working to ensure that each of the Foundation's goals will be met. In order to do so, Mr. Payne is helping to organize the committee responsible for raising annually the estimated $500,000 to $700,000 the Foundation will need in order to implement the "Ripken Way" programs in the Fredericksburg area and will further assist the Foundation in raising over $2 million dollars over the next five (5) years to construct new youth baseball and softball fields or renovate current baseball and softball fields in the Fredericksburg area.

In a recent meeting of the trustees, Cal Ripken, Jr. said of his partnership with the Fredericksburg area, "An opportunity like this, to reach out into another community, a community that really cares about their kids, and try to do something good for them, becomes a model for other communities.
