Kelley Drye Attorneys Speak at Atlas Legal's "Legal, Tax, and Financial Strategies for Structuring Investments in India" Conference
Partner Talat Ansari co-chaired an Atlas Legal conference, "Legal, Tax, and Financial Strategies for Structuring Investments in India" at the New York Helmsley Hotel. The conference was geared towards those doing business in India or considering investing in India. Mr. Ansari presented on mergers, acquisitions, joint ventures and strategic alliances. Associate Deepak Nambiar also spoke at the conference about Special Economic Zones.

Clark Hill Attorney Michael P. Nowlan Provides H1B Visa Update With MI Tech News "Newsmaker" Podcast
Clark Hill Attorney Michael P. Nowlan participated in a Michigan Tech News “Newsmaker” podcast on March 30 in Detroit. In the interview podcast, which is available at http://mitechnews.mediarica.com/archives/51, Nowlan reviews and explains the H1B temporary worker visa, typically used by high tech companies to recruit very skilled foreign workers. Nowlan also examined the basic H1B visa requirements, as well as outlined government requirements and prerequisites for obtaining a visa. The interview was conducted by Mike Brennan of mitechnews.com. The government began accepting applications for H1B visas on April 2. The H-1B cap has already been reached for this fiscal year for most applications.

Nowlan is a member in Clark Hill’s Detroit office, where he serves as the Co-Leader of the Immigration Practice Group. His immigration practice includes representation of Fortune 100 and 500 companies, scientists and engineers, religious institutions, business executives and entrepreneurs, computer and business personnel, and other professionals and their families as they plan for U.S. entry. Nowlan's expertise also includes in depth knowledge of all business and family immigration, nonimmigrant visas, as well as the permanent residence and naturalization processes. He continues to be an advocate for immigrant rights before immigration officials on a regional and national level and within Immigration Court as a trial attorney.

Nowlan earned his B.B.A. from Eastern Michigan University and his J.D. from the University of Detroit Mercy Law School.

Davis Polk Advises Crestview Partners on Its Acquisition of Symbion
Davis Polk & Wardwell is advising Crestview Partners, L.P. on the acquisition of Symbion, Inc. by an affiliate of Crestview. Symbion, headquartered in Nashville, Tennessee, owns and operates a network of 59 short-stay surgical facilities in 23 states. Crestview is a $1.5 billion New York-based private equity firm.

Under the terms of the merger agreement, holders of Symbion common stock will receive $22.35 per share in cash for their shares, valuing the transaction at approximately $637 million, including the assumption of certain debt obligations. The transaction is expected to close in the third quarter of 2007, subject to approval by Symbion’s stockholders, requisite regulatory and antitrust approvals and other customary closing conditions.

The Davis Polk corporate team includes partner John D. Amorosi and associates Jennifer Z. Cheng, Terrence R. O'Donnell (not yet admitted) and foreign temporary associate Fabian Dietz (not yet admitted). Partner Kathleen L. Ferrell and associate M. Ryan LaRosa are providing tax advice. Partners Karin S. Day and Michael Kaplan advised on the financing aspects of the transaction. Counsel Betty M. Huber and associate Hayden Baker are providing environmental advice. Counsel John T. Foley Expands Government & Public Affairs Practice With Addition of Former House Judiciary Committee General Counsel
Foley & Lardner LLP announced today that former General Counsel of the House Judiciary Committee Philip G. Kiko has joined the firm as a member of the Government & Public Affairs Practice.

Kiko's addition is Foley's latest step in its strategic plan to expand the firm's Government & Public Affairs Practice in Washington, D.C. and beyond.

“Phil's role in the passage of key legislation such as bankruptcy reform, immigration reform and class action reform, as well as assisting in setting the stage for the soon to be debated patent reform, provides real opportunity for clients,” said Rick Weiss, managing partner of the firm's Washington, D.C. office. “And, his knowledge of the legislative process and his strong bi-partisan relationships makes him a great addition to our team.”

Kiko will integrate his practice with the Energy, Intellectual Property and Entertainment & Media Industry Teams. He and other members of Foley's Government & Public Affairs Practice will also be important partners with the firm's White Collar Defense and Corporate Compliance Practice on Capitol Hill investigations and other legislative committee investigations.

Through his service of more than three decades in government, Kiko has extensive knowledge of the statutory framework of the Administration and an in-depth understanding of House rules and processes. He has worked closely with the legislative and executive branches on issues ranging from immigration to government contracts to global warming and has managed more than 50 staff, including 30 attorneys in the House Judiciary Committee.

Kiko became familiar with Foley after serving in various positions with former Chair of the House Judiciary Committee, Congressman F. James Sensenbrenner, Jr. (WI).

“Foley's national reach and the depth of its health care, energy and intellectual property practices is a natural fit for me,” said Kiko. “I look forward to leveraging the firm's wide array of practices and industries, which greatly benefit clients looking for counsel from both a legal and public affairs perspective.”

After working with Congressman Sensenbrenner, Kiko continued to work in government in various capacities, including working in the Office of the Secretary at the Departments of Education and Interior during the tenure of four Cabinet Secretaries. He returned to Capitol Hill to become Associate Administrator of Procurement and Purchasing for the House of Representatives and then returned to work with Sensenbrenner in various capacities: as Deputy Chief of Staff and Counsel for the House Science Committee, as Chief of Staff and Counsel for his personal staff and later as General Counsel and Chief of Staff for the House Judiciary Committee.

Kiko obtained his juris doctorate from George Mason University School of Law and his bachelor's degree from Mount Union College in Alliance, Ohio.
